Biography
Carolina Gonzalez is an associate in Baker McKenzie's Transactional Practice Group and is based in the Los Angeles office. Carolina’s practice focuses on representing public and private companies and financial institutions in cross-border mergers and acquisitions, capital markets, private equity and financing transactions.
Practice Focus
Carolina advises issuers and international finance institutions in debt and equity financing transactions throughout Latin America as well as globally.
Representative Legal Matters
- Represented BBVA and J.P. Morgan, as global coordinators, and Alterna, BofA, Citigroup, Goldman Sachs, Santander and Scotia, as joint bookrunners, in connection with a sustainability-linked notes offering by Fibra Uno. The offering consisted of USD 500 million of 7.700% Senior Sustainability-Linked Notes due 2032 and USD 300 million of 8.250% Senior Sustainability-Linked Notes due 2037.
- Represented Corporación Pesquera Inca S.A.C. (Copeinca) in connection with the sale by its indirect parent company PF Cayman New Holdco Limited of Copeinca to Cooke Inc.
- Represented Alfa, S.A.B. de C.V. (Alfa), one of the largest conglomerates in Mexico, in connection with a consent solicitation and CUSIP exchange offer to make certain proposed amendments to the indenture governing its USD 500 million principal amount 6.875% Senior Notes due 2044 (the Notes).
- Represented Credivalores – Crediservicios S.A., a leading non-bank financial institution in Colombia, in connection with an exchange offer and Chapter 11 Prepackaged Plan of Reorganization related to the restructuring of its 8.875% Senior Notes due 2025.
