Omar Gamaleldin
Biography
Omar Gamaleldin is an associate at Baker McKenzie Cairo (Helmy, Hamza & Partners) within the Banking & Projects Practice Group. He advises a wide range of lenders, sponsors and borrowers on domestic and cross-border transactions. He attained his Bachelor of Law from the British University in Egypt with honors in 2024.

Omar focuses his practice on banking, finance and projects, advising lenders, sponsors and borrowers on a broad range of domestic and cross-border transactions. His experience includes syndicated lending, project finance, real estate finance, refinancing and debt restructuring transactions, as well as the development and financing of energy, infrastructure and real estate projects.
Representative Legal Matters
- Advised Suez Wind Energy, a joint venture between ACWA Power and Hassan Allam Utilities, on a USD 1.1 billion financing for a 1.1 GW wind farm in Egypt's Gulf of Suez. The project is financed by a consortium of lenders, including the EBRD, AfDB, OPEC Fund, Apicorp, British International Investment, DEG, Bank of New York Mellon, and Commercial International Bank (CIB). (Won Infrastructure Deal of the Year at the African Banker Awards 2025)
- Acted as lenders’ legal counsel to Banque Misr and a consortium of seven banks in connection with an EGP 10.3 billion real estate financing to Palm Hills Developments, one of the biggest Cairo-based real estate developers, to finance part of the development cost of the ‘Badya’ project, one of Egypt’s largest real estate projects and smart cities. The ‘Badya’ project represents the largest real estate finance deal in the Egyptian market to date. (won North Africa Deal of the Year at GBM Africa Awards 2025, and Best Structured Finance Deal in Africa (Under USD 500 million) at the EMEA Finance Awards 2024)
- Advised Banque Misr and a consortium of two participating banks as lenders in connection with a real estate financing to Landmark Urban Developments. The financing is structured as a long-term syndicated loan, which will be used to finance part of the investment costs for the project known as STEI8HT. (won Best Real Estate Dal in Africa at the EMEA Finance Awards 2024)
- Advised Mashreqbank psc and HSBC Bank Middle East Limited along with a syndicate of regional and international lenders in connection with a refinancing facility of up to USD 550 million extended to Cheiron Finance Limited.
- Advised Banque Misr and CIB Egypt as lenders in connection with a real estate financing to SODIC, one of Egypt's leading real estate developers. The two banks signed a loan agreement valued at EGP 4.14 billion on 8 September, 2024, specifically for the development of Karmell project, SODIC's second integrated residential community in New Zayed, Cairo.
- Advised the International Finance Corporation (IFC) on the USD 40 million loan agreement with Nile Sugar S.A.E. (Nile Sugar), to finance the cultivation of 5,713 hectares of sugar beet in Minya, Upper Egypt.
- Advised AMEA Power, one of the region's fastest-growing renewable energy companies, on two pioneering renewable energy projects in Egypt including (i) the development of a 1000 MWh solar power plant, along with a 600 MWh Battery Energy Storage System (BESS); and (ii) the integration of a 300 MWH BESS into the existing 500 MW PV project of Abydos Solar Power.
- Advised a Pan-African multilateral financial institution in connection with increase of a USD 200 million multicurrency letter of credit facility agreement made with one of the leading contractors in Egypt and the MENA region as borrower.
