Laurent Fessmann

Biography

Laurent Fessmann is co-head of the Banking & Finance practice of Baker McKenzie's Luxembourg office. He has more than 25 years experience in business law and started his career in 1996 as in-house counsel in a French CAC40 listed company, where he worked intensively on LBO transactions, capital markets and corporate law matters. He founded his own firm in August 2009 and established the Baker McKenzie Luxembourg office one year later.

He is a highly regarded professional and recognized legal professional in Chambers, Legal 500, IFLR notably. He contributes time and knowledge in several market participant industry associations in particular as co-chairman of the ABBL/ALFI depositary forum working groups, the European Public Real Estate Association, the Luxembourg Private Equity Association and the Association of Global Custodians. He is also a regulator at fund conferences such as ALF and gives regularly speeches and trainings on fund custody issues.

Laurent (Partner, Head of Funds and Asset Management) is extensively involved in regulatory affairs question on numerous occasions (AIFMD, UCIT V, EMIR etc) for custodian associations mainly AGC, ALFI Depositary Forum, ABBL working group and LPEA.

Representative Legal Matters

  • Advised two Luxembourg credit institutions on different outsourcing projects of back/mid-office services respectively out of and to Luxembourg.
  • Regularly advises on lending transactions and global custody issues for JP Morgan, BNP Paribas, CACEIS, Societe Generale, Banque Pictet, Royal Bank of Scotland.
  • Advised many global custodians on custody risk surveys in the framework of global custody for the Association of Global Custodians.
  • Representing Public State Banking Authorities in their tripartite collateral management arrangements with Clearstream Bank Luxembourg in relation to repurchase agreement and securities lending.
  • Advised Luxembourg depositaries on the redrafting and upgrading of their contractual documentation as depositary, sub-custodian, central administration agent, transfer agent and paying agent in the context of changes in the regulatory environment for fund service providers such as JP Morgan, Prime Brokerage Services, Société Générale Securities Services, Monetary Authority of Singapore (MAS).
  • Acting for two global international prime brokers in the delivery of bankruptcy surveys and enforceability legal memoranda in respect of international cross border margining arrangements.
