Biography
Noureldin is an associate at Baker McKenzie Cairo. He focuses on banking, finance, and projects.
Noureldin received his Bachelor's degree as well as his Master's degree in Banking and Financial law from the University of Paris I Panthéon-Sorbonne in 2020 and 2021 respectively.
Practice Focus
Noureldin focuses his practice on all legal matters related to project finance, cross-border credit transactions, loan transactions, financial services and mergers and acquisitions. He represents banks, financial institutions, and other lenders as well as borrowers.
Representative Legal Matters
- Advised Tanfeez for Real Estate Investment and Urban Development (Al Baraka Capital Subsidiary) in connection with purchasing of real-estate assets from the Arab Company for Projects and Urban Developments (a Talaat Mostafa Group Subsidiary) and concluding a Development, Operation and Investment agreements on said real-estate assets with the Arab Company for Projects and Urban Developments as the Operating Company, with a value of EGP 700 million.
- Acting for Hutchison Ports Europe Ltd. in connection with two container terminal port concessions located in El-Dekheila Port (Mediterranean Sea) and Sokhna Port (Red Sea), both in Egypt. The negotiation for both concession agreements were simultaneously run in quite a short time considering the differences that must be accommodated in each case given the different locations but most importantly given the different counterparties as grantor and investors for each concession. Each concession agreement was finally issued earlier this year (March 2023) as a special law by the Egyptian Parliament after having been reviewed and approved by the Ministry of Transport, the different grantor's board of directors, the State Council and the Cabinet of Ministers.
- Advising AMEA Power on (i) the development and financing of two renewable projects in Egypt with a capacity of 1000 megawatts and value of USD 1.1 billion; and (ii) the development and financing of a 500MW solar plant in Aswan and a 500MW wind farm in Gulf of Suez. (Won ECA, DFI and IFI Deal of the Year from Bonds, Loans and Sukuk 2023 and PFI Awards' Global ESG Deal of the Year 2022)
- Acted as Egyptian law and English law counsel to the National Bank of Egypt as a facility agent and a syndicate of 24 banks, in relation to extending an EGP 8 billion financing to Evergrow for Specialized Fertilizers, a leading local and regional company in the specialized fertilizers field. The EGP 8 billion long-term facility is intended to refinance the existing short-term loans for Evergrow as well as its operating expenses and it was divided into four tranches, including a USD tranche. (Won Best Local Currency Loan in Africa AND Best Restructuring in EMEA by EMEA Finance Achievement Awards 2022)
