Mita Djajadiredja is a partner in Hadiputranto, Hadinoto & Partners’ Corporate & Securities Practice Group in Jakarta. She has extensive experience in mergers and acquisitions and private equity as well as corporate alliances, including joint ventures, shareholder agreements and strategic business alliances. Ms. Djajadiredja has advised a wide range of domestic and international clients across various sectors, including finance, insurance, real estate, manufacturing, trading and mining.

Practice Focus

Mita Djajadiredja has more than 20 years of experience in corporate and securities. Matters she has handled include structuring transactions from the perspective of Indonesian law and advising on regulatory issues. She also drafts and negotiates transaction agreements such as conditional sale and purchase agreements, subscription agreements, joint venture agreements, option agreements as well as any other agreements that are required to implement the agreed structure.

  • Representing PT Indosat Tbk., one of Indonesia’s leading telecommunication and information service providers and a subsidiary of Qtel, on the proposed sale and leaseback of telecommunication towers to PT Tower Bersama Infrastructure Tbk.

  • Representing a French trading company on the restructuring of its investment in a bulk port service and logistics company, and on the establishment of a joint venture with one of Indonesia's largest infrastructure companies.

  • Representing AXA in the establishment of PT AXA Mandiri Financial Services and PT Mandiri AXA General Insurance.

  • Representing a leading Indonesian group of companies in a joint venture with a top Asian property company to develop residential projects in Jakarta's prime business district.

  • Representing a leading automotive spare parts manufacturer in acquiring majority shares in an Indonesian group of companies that manufactures steel and alloy wheel rims.

  • Representing SCG Building Materials Co. Ltd. and its sister company in the acquisition of five Indonesian companies that manufacture and distribute cement products.

  • Representing Saint Gobain Weber in relation to the acquisition of PT Cipta Mortar Utama, one of the largest pre-mixed mortar producers in Indonesia.

  • Representing a major Dubai-based property developer in relation to its joint venture formation with a major Indonesian property developer.

  • Representing Mitsui Sumitomo Insurance Company Limited in relation to its share subscription of a 50 percent stake in the life insurance unit of Indonesian conglomerate Sinar Mas.

  • Representing Bank of Tokyo - Mitsubishi UFJ, Ltd. in the sale of PT U Finance.
