Biography
Matt Dempsey is a senior associate in Baker McKenzie's Intellectual Property and Technology practice. He has previously worked for other top-tier law firms in Australia and has held in-house legal positions in large national and multinational companies.
Practice Focus
Matt advises on major technology-driven transactions and regulatory issues spanning data privacy, cyber, telecommunications, intellectual property and consumer law.
Matt also assists clients with the technology aspects of corporate transactions, including with respect to separation and migration activities and transitional services.
Representative Legal Matters
- Drafting, reviewing, and advising on large-scale technology contracts, including systems integration and business process outsourcing transactions.
- Drafting and negotiating various software licence, service level, and support and maintenance agreements.
- Acting for various multinational SaaS vendors in their negotiations with large Australian companies.
- Acting for various major companies with respect to regulatory uplifts of business critical agreements.
- Conducting the technology and IP aspects of due diligence and negotiations as part of numerous M&A transactions, including:
- identifying key IT assets (including assets licensed to the target by third parties);
- assisting with open source software audits;
- assisting with transitional services agreements and data transfer agreements; and
- advising on privacy and data protection aspects of M&A transactions.
- Advising clients on compliance with Australian privacy, consumer and spam laws, including business-wide privacy compliance
projects, cyber security and data breach incidents and global regulatory developments - Advising clients on the application to their business of Australian telecommunications laws
- Advising several businesses on the application of the Security of Critical Infrastructure Act to their business and in particular interplay with regulation of their customers.
