Sirikan Buranasiri

Her work focuses on assisting local and multinational clients on corporate and commercial issues related to inbound and outbound investment, and issues relevant to local and foreign investors, such as foreign investment laws, establishment and restructuring of business operations, mergers and acquisitions, and joint ventures transactions. She also has experience advising clients on investment and trade and commerce matters relating to establishing a business presence in Thailand; assisting with Board of Investment promotion; ensuring Foreign Business Law compliance; and recommending ideal corporate structures and restructuring activities.

Sirikan has extensive experience assisting luxury consumer goods company with handling corporate set-up, mergers and acquisition, recommending ideal corporate structures.

• Representing a large number of multinational clients in relation to establishing new businesses in Thailand, corporate restructuring, corporate registration and acquisition transactions.
• Assisting Chubb Asia Pacific Pte. Ltd. on the closing structure for the acquisition by Chubb of the Thai affiliates of Cigna and post-closing matter including integration by amalgamation of Chubb Samaggi Insurance Public Company Limited and Cigna Insurance Public Company Limited, including planning corporate structure and seeking regulatory approvals. 
•  Advising fashion and luxury retailers on establishing and operating their business in Thailand.
• Assisting one of the largest processing food companies to acquire food manufacturing facilities in Thailand.
• Assisting a British multinational consumer goods company in the restructuring of its business in Thailand through the partial business transfer scheme.
• Assisting a multinational industrial gas company in the restructuring of its Thai subsidiaries through the entire business transfer scheme.
• Assisting International School Partnership Limited on the acquisition of two international schools in Thailand, enabling the client to secure a string foothold in the education industry in Thailand.
• Advising a renown UK-based language school on legal and compliance matters.
• Assisting ACE Limited, the parent company of the ACE Group, on the acquisition of a majority stake in The Siam Commercial Samaggi Insurance Public Company Limited.
• Advising on restrictions, rules, and requirements with respect to the Foreign Business Act, corporate law, and Board of Investment promotions.
• Providing legal advice with respect to a range of corporate and commercial matters, including general corporate issues, corporate and shareholding structures, mergers and acquisitions, and joint ventures as well as preparing and handling documentation, or applications, in relation to corporate matters, for both private and public companies.
• Advising and assisting clients in preparing steps and action plans for their entrance into the Thai market, and obtaining relevant permits and approvals required in their industry.
• Drafting and commenting on various commercial and transaction agreements.
• Advising on and handling corporate restructuring, integration, and mergers & acquisitions (both business/assets and shares) for various industries, such as automotive, insurance brokerage business, and consumer healthcare business.
• Assisting with the training of a client’s sales and marketing personnel to provide them with an understanding of compliance with Thai consumer protection law and product liability law.
