Lama is a corporate lawyer who focuses on capital markets transactions involving local and international clients in relation to initial public offerings, rights issues and public mergers & acquisitions transactions in a range of sectors including goods & retail, oil & gas, pharmaceutical, insurance and re-insurance and food and beverage.
Representative Legal Matters
Lama's experience includes:
- Advised Dar AlMajed Real Estate Company in connection with its IPO on the main market of the Saudi Exchange. The deal is valued as SAR 1,260,000,000 (USD 366,000,000).
- Advised Buruj Cooperative Insurance Company on its merger with the Mediterranean and Gulf Insurance and Reinsurance Company.
- Advised Fourth Milling Company in connection with its IPO on the main market of the Saudi Exchange.
- Advised the underwriters HSBC Saudi Arabia, Goldman Sachs Saudi Arabia and SNB Capital to the initial public offering of Arabian Drilling Company on the main market of the Saudi Exchange.
- Advised Al Nahdi Medical Company on its initial public offering on the main market of the Saudi Stock Exchange, valued USD 1.36 billion.
- Advised the syndicate of 11 underwriting banks on ACWA Power's USD 1.2 billion initial public offering and listing on the main market of the Saudi Stock Exchange with an implied market capitalization on listing of approximately USD 11 billion.
- Advised 8 underwriting banks on Rabigh Refining and Petrochemical Company's SAR 7.95 billion rights issue.
- Advised HSBC Saudi Arabia Limited and Riyad Capital in their capacity as underwriters in connection with the initial public offering of Marafiq on the main market of the Saudi Exchange.
- Advised Riyad Capital in their capacity as underwriter of the initial public offering of Al Elm Company on the main market of the Saudi Stock Exchange.
- Advised Gulf Insurance Group acquisition of AXA's insurance operations in the Gulf region for a value of USD 474 million.
- Advised on the acquisition by Gulf Marketing Group of Royal Sporting House's sports retail business.
- Advising an infrastructure and technology company on its proposed initial public offering on the main market of the Saudi Exchange.
- Advising a finance company on its proposed initial public offering on the main market of the Saudi Exchange (postponed).
- Secondment for nine months with the JP Morgan Saudi Arabia investment banking team, where I advised several private and listed companies on IPOs and rights issues, and various other capital markets and SAMA related matters.
Corporate Responsibility
- Member of the Pro Bono Committee for the Riyadh and Jeddah offices in Saudi Arabia.
- Provides ongoing advice to pro bono clients in relation to various legal issues.
