On 20 August 2013, the Russian Supreme Arbitrazh Court published new guidelines regarding damages claims against chief executive officers, and management council and board members of Russian companies.
By 1 October 2014 all joint stock companies that maintain their own shareholder registers must transfer them to professional registrars. As an alternative a joint stock company with less than 50 shareholders can be transformed into a limited liability company within the same term. In this case the requirement will not apply.
Third-party agreement provisions can, if done properly, mitigate liability risks.
