Biography

Ulrich Weidemann was admitted as lawyer in Germany in 2004. Prior to joining Baker McKenzie, he advised on M&A, capital markets and corporate finance transactions at several leading multinational law firms in Frankfurt and New York.

In addition to his legal career, Ulrich completed a training as a banker (Bankausbildung) in 1997. From 1998 to 2004, he was a lecturer at a banking academy in Germany.

Practice Focus

Ulrich represents clients in mergers and acquisitions (M&A), private equity and venture capital transactions, joint ventures, corporate reorganizations, general corporate law matters, as well as capital markets transactions (including IPOs, capital increases, secondary offerings and bond issuances) and other corporate financings. The clients represented operate in various industries such as logistics and transportation, energy, software/IT, media, construction, automotive, banking and finance, electronics, telecommunications, insurance, chemical, transportation, and real estate.

Representative Legal Matters

  • Advised Lufthansa Technik AG (and other affiliates of the Lufthansa group) on several (acquisition, joint venture, and other) transactions since 2022.
  • Advised Saab (defense) on its strategic partnership with, and investment of EUR 75 million in, Helsing GmbH, a defense company specializing in AI-based software technologies.
  • Advised Senwes Ltd, a John Deere agricultural machinery distributor in South Africa, on the acquisition of four agricultural machinery dealers in the federal states of former East Germany.
  • Advised a European corporate in connection with a contemplated public M&A transaction in Germany.
  • Advised H.C. Starck GmbH (and its shareholder, Vietnamese industry group Masan) on the acquisition of Chemitas GmbH.
  • Advised Magna International Inc. on its acquisition of Veoneer's Active Safety Business from SSW Partners for a purchase price of USD 1.525 billion.
  • Advised Fluidra, a global leader in pool and wellness equipment and connected solutions, on its acquisition of 100 percent of Meranus Group, a leading distributor of swimming pool equipment in Germany.
  • Advised IFRS Foundation Delaware (and its affiliates) in connection with establishment of a German not-for-profit foundation, which German foundation is to head the EMEA activities regarding development of ESG Disclosure Standards.
  • Advised listed company Media and Games Invest SE on its successful relocation of its registered office and headquarters from Malta to Sweden (by maintaining its current listings in Germany and Sweden).
  • Advised Swiss construction chemicals group Sika AG on the acquisition of MBCC Group (Master Builders Construction Chemicals), the former BASF Construction Chemicals division, from Lone Star Funds.
