Biography

Davinia Martens is a partner in the Corporate Finance Practice Group in the Brussels office. She joined Baker McKenzie in 2004.

Practice Focus

Davinia's practice focuses on reorganisations, M&A, private equity, and corporate compliance and governance. She is also a member of the Global Reorganisations Practice Group.

Davinia advises both domestic and international clients on corporate finance matters, covering Belgian and cross-border M&A transactions and corporate reorganisations and restructurings, buy-outs, private equity, and venture capital transactions. She also advises clients on corporate compliance and governance matters and has played a prominent role in many of the reorganisations that our Belgian practice has been involved in.

Representative Legal Matters

  • Advised Baloise on its acquisitions of the non-life insurance portfolio (from Athora), Fidea NV, Nateus (from Ethias) and Avéro Schadeverzekering Benelux (from Achmea/Eureko).
  • Advised Ergon Capital Partners on the buy-out of Keesing and Keesing's subsequent add-on acquisition of PRS, an Italian puzzle magazine publisher.
  • Advised Recticel on the sale of its car interior sprayed and moulded skins business activities.
  • Advised a large, reputed PE fund on its binding offer for a multinational pharmaceutical company.
  • Advised Baltisse on the buy-out of Polflam, a Polish fire-resistant glass manufacturer.
  • Advised Brussels Airlines on its acquisition of Thomas Cook Airlines Belgium.
  • Advised Ergon Capital Partners on the LBO of Joris Ide Group and subsequent sale of the Joris Ide Group to an industrial buyer.
  • Advised Camso Inc. on its acquisition (through an affiliate) of a Belgian group of tyre companies.
  • Advised Computer Task Group on its acquisitions of e-Trinity NV and Quality4Care BVBA (from De Kronos Groep).
  • Advised Deutsche Lufthansa on its acquisition of a stake in SN Airholding (and its subsidiaries, including Brussels Airlines).
