Practice Focus
Mr. Chorny focuses his practice in the areas of banking and finance, debt restructuring and insolvency, securitization and structured finance, debt capital markets and secured transactions. He has broad experience advising both foreign and domestic financial institutions and corporate clients on various aspects of the Ukrainian banking and finance legislation, as well as representing issuers and lenders in a number of capital markets transactions. Mr. Chorny is highly regarded for heading first-of-its-kind transaction in Ukraine, including the first Eurobond issuances and the first securitizsations. His practice covers serving major international and Ukrainian clients, including BNP Paribas, ING Bank, Morgan Stanley, Citigroup, PrivatBank, UkrSibbank, System Capital Management, Ferrexpo, Gastransit, EBRD and IFC. Mr. Chorny is currently involved in representing creditors, debtors and investors in some of the largest and most complex financial restructurings and insolvencies matters.
Representative Legal Matters
- Advised the lead banks and the coordinating committee of international lenders in connection with the restructuring of debts of Bank Nadra, a major Ukrainian commercial bank undergoing temporary administration.
- Advised a London-based international bank as lender and issuer in connection with a proposed consent solicitation process and restructuring of financial obligations of a major Ukrainian commercial bank with respect to loan participation notes (Eurobonds) issued in the international capital markets.
- Advised a London-based international bank in connection with the restructuring of financial obligations of Naftogas of Ukraine with respect to USD500 million loan participation notes (Eurobonds) issued in the international capital markets.
- Advised the controlling shareholders of Joint Stock Company Provex-Bank on the USD750 million sale of 100 percent of the Bank’s shares to Intesa Sanpaolo S.p.A.
- Acted as a transaction counsel on Ukrainian law matters on the first ever securitization of autoloans portfolio of Joint Stock Company Commercial Bank “PrivatBank”, the largest commercial bank (by assets) in Ukraine.
