Biography

Susan Eandi is a Labor and Employment partner in the San Francisco and Palo Alto offices, leading the North America Global Employment and Labor Law practice. Susan is a member of Baker McKenzie’s global Executive Committee, North America Regional Management Committee and Chair of the Client Growth Advisory Board. Previously, Susan was the Chair of the North America Employment and Labor Law Practice Group and member of the Global Employment & Compensation Steering Committee.

For more than twenty-five years, Susan has advised US-based multinational employers on their strategic workforce planning. She provides comprehensive advice to employers expanding into new jurisdictions and engaging talent, managing through major business change and supporting workforce issues in corporate transactions.

Susan is a leader in her industry and is top ranked in the major directories, with clients saying that she is “one of the top labor and employment lawyers in the world,” “very transparent and honest,” “super responsive,” and “a great coordinator – like a quarterback” (Chambers California).

Susan is trusted counsel to multinational companies, guiding them in all aspects of global workforce management. Her practical advice is based on decades of experience advising on global strategic workforce engagement and planning. With a nuanced understanding of how geopolitical forces can challenge multinational employers, Susan helps clients anticipate and respond to a widening portfolio of risk that is not just legal in nature but physical, reputational and economic. In addition, a significant part of Susan’s practice is leading on the full-spectrum of global employment law matters arising during cross-border M&A, separations and spin-offs, restructurings and other major corporate transactions. Susan places emphasis on post-acquisition integration and business continuity to achieve a deal’s promised synergies and transaction value. She consistently is recognized for her ability to build effective teams that work seamlessly across jurisdictions and legal disciplines to deliver value for clients. Equally, Susan is a highly sought after mentor for development and support, often speaking and training on internal as well as external programs.

Susan actively advises and hosts roundtable discussions for global employment law leaders on matters relating to inclusion, diversity and equity, managing global workforce change, building internal frameworks and policies to address the adoption of AI tools in HR, and on best practices for taking a people-centric approach to corporate transactions. She also is actively involved in Baker McKenzie's Executive Institute for Legal Leaders.

Representative Legal Matters

  • Advised on employment matters on both buy side and sell side in numerous public company and private company cross-border transactions, including acquisitions, separations, spin-offs/carve-outs, restructurings, divestitures, and post-acquisition integrations covering 60+ jurisdictions. Advised on global employment matters for IPO readiness.
  • Advised on employment matters in outsourcing, insourcing, supply chain and tax restructuring covering 50+ jurisdictions.
  • Advised US multinational corporations on employment considerations in entering new jurisdictions through various business models, including direct hire by foreign employers, third party agencies such as PEOs and EORs and independent contractor engagement, including transfers of employment and engagement between corporate entities, across 50+ jurisdictions.
  • Advised on global solutions across multiple jurisdictions, including: worker onboarding; contingent worker misclassification; remote and hybrid work; return to office; GenAI polices, practices and use cases; global compensation/commission plans; pay audits; crisis response policies and protocols; leave strategies and implementation; global handbooks and Codes of Conduct; and performance management.
  • Advised both publicly traded and private US multinational corporations across various industries — technology/software, fashion/retail, banking/finance — on global restructuring strategies including salary reductions, compensation design refresh, temporary shutdowns and reductions in force across more than 50 jurisdictions.
