Biography

Chuck Magerman is a member of Baker & McKenzie's North American transactional group focusing on complex cross-border and multijurisdictional M&A, finance transactions and other corporate commercial matters. He focuses on corporate law as well as M&A and finance transactions. Chuck has been recognized as one of the Best Lawyers in Canada in 2024 and as a Thomson Reuters Stand-out Lawyer - Independently rated lawyers. He has lectured on international business transactions and is an active speaker at numerous conferences on cross-border transactions and on doing business in Canada.

Chuck is very active in pro bono and other community service. He is a member of the Toronto office's Diversity, Inclusion and Equality Committee, he has and continues to serve on the Board of Directors of certain community charitable organizations, and was awarded the Queen's Diamond Jubilee Medal in recognition of his service to the community.

Practice Focus

Chuck focuses on corporate M&A as well as banking and finance matters. He advises clients on a broad range of corporate matters, particularly on complex multijurisdiction mergers, acquisitions, divestitures, reorganizations (including global carve-outs and post-acquisition integrations) and other matters of corporate and partnership law. He also assists clients with secured and unsecured loans — as well as other forms of credit facilities — with particular focus on cross-border and multijurisdictional financings.

Representative Legal Matters

  • Advised Brookfield Business Partners L.P. on all non-US legal matters and implementation of its USD 13.2 billion acquisition of the Power Solutions business of Johnson Controls International.

  • Represented Camso Inc. on its USD 1.7 billion sale to The Michelin Group.  The transaction spanned over 28 jurisdictions.

  • Advised on the Canadian legal implementation of the separation of Abbott Laboratories’ research-based pharmaceuticals business which included the portfolio of proprietary pharmaceuticals and biologics into AbbVie Corporation.

  • Advised on a USD 975 million sale of Canadian-based multinational corporation.

  • Represented a Canadian headquartered manufacturing company in a series of acquisitions in Europe and in South America.

  • Assisted several large multinational corporations with the corporate reorganizations related to the integration of newly acquired subsidiaries.

  • Represented multinational corporations with their de-merger/spinoff of a significant part of their businesses.

  • Advised Canadian headquartered borrower on its USD 300 million cross-border syndicated secured financing.

  • Represented a large multinational manufacturer with respect to the financing arrangements that permitted it to emerge from bankruptcy protection.

  • Represents both sellers and buyers in asset and share acquisitions and mergers, both domestic and multijurisdictional transactions including venture capital/private equity transactions.

  • Advises several Canadian and non-Canadian multijurisdictional corporations with their ongoing global legal needs.

  • Regularly assists foreign businesses in structuring their entry into the Canadian market and their other corporate legal needs.

  • Represents major commercial lenders in secured financing transactions and the enforcement of security.

  • Represents several foreign banks and financial institutions with respect to secured lending transactions, domestic and multijurisdictional transactions and with respect to regulatory compliance issues.
