Biography

Dr. Alexander Blaeser is a partner in Baker McKenzie's Zurich office and a member of the Firm's Mergers & Acquisition and Banking & Finance practice groups. Before joining the Firm in April 2013 as an associate, he worked for two years as a law clerk in another major Zurich law firm and was admitted to the Zurich bar in 2013. Dr. Blaeser graduated from the University of St. Gallen law school in 2008 and obtained a doctoral degree (Dr. iur.) from the University of St. Gallen in 2011 for his doctorate thesis on the rules regarding interest in the Swiss Code of Obligations. Together with Lukas Glanzmann, Alexander Blaeser wrote a commentary on the rules regarding the approval of executive compensation (articles 18, 19 and 31, para. 2 and 3) of the Swiss ordinance against excessive compensation in listed companies

Practice Focus

Dr. Blaeser has broad experience in mergers & acquisitions and private equity transactions, corporate law matters, debt financing transactions and corporate reorganizations. He routinely advises Swiss and international clients, including private and listed companies, on domestic and cross-border transactions (both sell and buy-side), general corporate and commercial matters, executive compensation, loans and credit facilities, corporate restructurings as well as areas of law ancillary thereto. Alexander Blaeser further is a member of the Firm's IMT and Financial Institutions industry focus groups. He is admitted to practice in Switzerland.

  • Advising SCHMOLZ+BICKENBACH AG on its recapitalization by way of a CHF 325 million rights offering

  • Representing Helvetica Capital AG and its Swiss Entrepreneur Investor Platform in the acquisition of Schulthess Maschinen AG (including its subsidiaries) from NIBE Group which is listed both at Nasdaq Stockholm and SIX Swiss Exchange.

  • Representing a Swiss producer of natural cosmetics and medical products on the establishment of a joint venture in several jurisdictions.

  • Advising the founders of Terrafertil, a natural foods company and main global producer of goldenberries, in relation to the sale of a majority stake in Terrafertil to Nestlé.

  • Representing sellers in an M&A transaction vis-a-vis a German listed company.

  • Advising a global pharmaceutical company in a cross-border sale and corporate restructuring transaction.

  • Representing the lender in a cross-border bridge financing and financial restructuring transaction.

  • Advising various listed Swiss companies on the implementation of the Swiss ordinance against excessive compensation in listed companies.

  • Advising a foreign listed company in a cross-border acquisition in the pharmaceutical sector.

  • Representing a Swiss bank in a debt financing transaction in the health care sector.

  • Advising on the relocation of a foreign company from a member state of the European Union to Switzerland.
