Biography

Munir Abdul Aziz is a partner in the Corporate, Commercial & Securities Practice Group of Wong & Partners and has been in practice since 1998 in the areas of mergers and acquisitions, corporate reorganisations, equity capital markets work, venture capital and private equity, joint ventures and general commercial transactions.

Munir is recognised as a Leading Individual by Legal 500 Asia Pacific for Corporate and M&A (since 2017) and Capital Markets (since 2018). Munir has also been named by IFLR1000 as a Leading Lawyer for Energy and Infrastructure (since 2016), Capital Markets (since 2013) and for M&A (since 2012).

Munir was named Managing Partner of the Year in 2021 and Dealmaker of the Year in 2017 and 2020 at the Asian Legal Business Malaysia Law Awards. Asialaw Profiles named him a Leading Lawyer for Capital Markets, Corporate/M&A and Private Equity since 2016. He has worked in the London and Melbourne offices of Baker McKenzie International.

Practice Focus

Munir has represented a number of multinational corporations in connection with takeovers, acquisitions, divestments of shares and assets, and joint ventures. He has also worked on corporate reorganisations and de-mergers involving leading publicly listed Malaysian companies. He has also been involved in domestic and international securities transactions including bond offerings and initial public offerings.

Representative Legal Matters

  • Advised Morgan Stanley & Co. International PLC in connection with a placement by Seadrill Ltd of approximately 490 million ordinary shares, amounting to 8.2 percent of the capital of SapuraKencana Petroleum Berhad. Maybank Investment Bank Berhad acted as a co-bookrunner in the placement.

  • Advised Shell Overseas Holdings Limited (Shell) on its USD66.3 million (equivalent to MYR275 million or MYR1.80 per share) sale of its 51% interest in Shell Refining Company (Federation of Malaya) Berhad (SRC) to Malaysia Hengyuan International Limited, a Labuan incorporated subsidiary of Shandong Hengyuan Petrochemical Company Limited (Shandong Hengyuan). The sale marks the first overseas refinery acquisition by Shandong Hengyuan and the completion of the transaction will trigger a mandatory takeover offer for the remaining shares of SRC held by shareholders other than Shell, amounting to an additional USD63.7 million in value.  

  • Advised Telekom Malaysia Bhd. (TM), a leading fixed-line and broadband provider, on its Investment Agreement with Green Packet Bhd. (Green Packet) and SK Telecom Co., Ltd. (SK Telecom), to collaborate on developing a next-generation Long-Term Evolution (LTE) infrastructure for converged communications services in Malaysia. As part of the Investment Agreement, TM will invest MYR350 million into Packet One Networks Sdn. Bhd. (P1) to make TM the majority shareholder with an estimated 57 percent stake. TM will also invest up to RM210 million into Green Packet, and TM, Green Packet and SK Telecom will subscribe for the redeemable convertible unsecured bonds to be issued by P1 to raise up to MYR1.65 billion toward the roll-out of the LTE network and operation, therefore valuing the entire deal at approximately MYR2.2 billion.

  • Acted for BIMB Holdings Berhad in connection with the acquisition of a 49 percent stake in Bank Islam Berhad from the Dubai Financial Group LLC and Lembaga Tabung Haji for a total purchase consideration of approximately MYR2.8 billion. Our corporate team advised on the M&A aspects of the transaction as well as the MYR1.8 billion rights issuance, while our finance team advised Bank Islam as lead arranger on the MYR1.7 billion sukuk issuance, therefore valuing the entire deal at approximately MYR6 billion. The deal was named the Equity Deal of the Year in 2013 by Islamic Finance News and the Equity Market Deal of the Year by the 2014 Asian Legal Business Malaysia Law Awards.

  • Advised Malakoff Corporation Berhad, Malaysia's largest independent power producer, on two agreements with Sime Darby Energy Sdn. Bhd., for the acquisition of Sime Darby Berhad's Malaysian power business.
