Sivapong Viriyabusaya

Sivapong mainly practices in mergers and acquisitions, with a focus on the insurance, power, and petrochemical industries, as well as on major projects, real estate, and climate change (carbon trading). He has considerable experience in negotiating and drafting contracts, reviewing project documents and conducting due diligence investigations for both inbound and outbound merger and acquisition projects. Sivapong also assists with tax planning and corporate structuring/restructuring advice.

• Advised a global education group’s Thailand subsidiary on acquiring an international school in Bangkok. The team was deeply involved in this acquisition, which spanned more than two years of persistent negotiations, followed by a two-month transaction process. The transaction was highly complex, involving the registration of a new land lease and a building lease for the school.
• Led the team in successfully facilitating a significant joint venture investment transaction between the founders of a protein shake brand and a distinguished Australian food and beverage conglomerate. This collaboration is a noteworthy achievement, particularly as the brand was meticulously developed from inception by its founders, marking a meaningful milestone in its growth trajectory.
• Led the team in assisting a global private equity fund in acquiring a majority stake in a global automotive systems company, specifically in relation to its infotainment systems business. This complex transaction spanned approximately one year and involved addressing numerous urgent and intricate issues.
• Led the team in assisting a Thai family and its Singapore holding company with the internal restructuring and sale of shares in a Vietnamese printing company and the Singapore holding company to a leading Thai packaging company. This was a key transaction in the sector; after the completion of the share sale, we expect an expansion in the number of Thai players in the printing business, which will gain significant market share both domestically and regionally through expansion in the Vietnamese market.
• Led the team in providing legal advice on a Thailand-based systems integrator’s internal restructuring and the disposal of all or part of the business. The transaction is divided into two phases – restructuring and M&A; we expect this transaction will give rise to more opportunities stemming from the presence of stronger players in the systems integration field.
• Acted for a global private investment firm as one of the bidders in the potential acquisition of a majority stake in one of the world’s largest polyester film manufacturing groups through the acquisition of promoter stock in an Indian stock exchange–listed polyester film company and a Thai stock exchange–listed affiliate, as well as subsidiaries in the USA, the Netherlands, Turkey, Indonesia, and Singapore. Our firm advised the bidder in all non-India jurisdictions on multi-jurisdictional M&A aspects, showcasing our strength in cross-border transactions.
• Assisted a global insurance group with the business integration of its entities in Thailand, marking the second successful amalgamation in Thailand’s insurance sector. This made our Bangkok office the only law firm in Thailand to have successfully carried out amalgamations in the sector, the first being in 2008.
