Biography

Dan is a senior associate in Baker McKenzie's North America Antitrust & Competition Practice Group.

Dan is an antitrust specialist whose practice focuses on merger control, civil conduct investigations, corporate counseling and compliance, and civil litigation. He advises client across a broad range of industries in matters before US and foreign competition authorities.

Dan maintains an active pro bono practice. He is also an active member of the ABA Section of Antitrust Law and is currently a Vice Chair for the Unfair Competition Committee.

Practice Focus

Dan represents clients at all stages of merger control process, including conducting multi-jurisdiction filing analyses, negotiating deal terms, advising on antitrust risk, guiding on processes for diligence and integration activities, and handling the HSR clearance process. He also regularly manages civil conduct investigations and responses to regulatory requests, including in matters before the FTC, DOJ, and foreign competition authorities.

Dan counsels clients on all aspects of antitrust law with particular expertise advising on antitrust-IP matters, competitor collaborations, distribution and supply agreements, pricing practices, dual distribution and channel management, director interlocks, and antitrust immunities and exemptions. He also develops antitrust compliance programs and conducts internal audits for companies.

Dan has served as lead counsel in antitrust litigation, which has included handling briefing for substantive motions and managing all aspects of fact and expert discovery (including taking and defending depositions).

Dan's work spans a broad range of industries, including consumer and retail goods, construction and building products, energy and infrastructure, food and agribusiness, high technology, industrial manufacturing, metals and mining, and pharmaceuticals and life sciences.

Representative Legal Matters

  • Advised Marel in connection with its 3.5 billion Transaction Agreement with JBT

  • Advised Rio Tinto on its approximately USD 700 million acquisition of a 50% equity stake in Giampaolo Group's Matalco Inc. business to produce and market recycled aluminium in North America

  • Advised Hitachi on its approximately USD 11 billion acquisition and carve out of ABB’s power grids business (largest ever outbound Japanese infrastructure deal)

  • Advised CSL Seqirus in its approximately USD 4.3 billion collaboration and license agreement with Arcturus Therapeutics to develop late stage self-amplifying mRNA vaccine platform technologies

  • Advised Galapagos in connection with Gilead's approximately USD 5.1 billion research and development collaboration with Gilead across multiple clinical programs and research areas

  • Advised Daily Mail and General Trust PLC on its USD 364 million sale of a marketing analytics company and its USD 320 million sale of its school- and college-based technology businesses

  • Advised Ube Industries on its integration with Mitsubishi Materials Corporation of their cement and related businesses in a transaction valued at approx. USD 3.3 billion

  • Served as lead counsel for joint patent licensing platform in successful DOJ Antitrust Division business review of its 5G cellular standard-essential patent platform for connected cars

  • Represented and advised various companies on bringing and defending against antitrust claims and counterclaims related to enforcement of IP rights and challenges of IP licensing practices

  • Served as lead counsel for teeth whitening entrepreneur in antitrust action involving a professional licensing board in one of the leading cases on issues related to sovereign and state action immunity following the Supreme Court’s 2015 decision in FTC v. North Carolina Board of Dental Examiners

  • Served as lead counsel on two appellate amicus curiae briefs addressing cutting edge antitrust issues
