Hsian oversees Wong & Partners' Real Estate practice and previously worked as legal counsel in a US MNC as well as with a leading corporate law firm. He has extensive experience with respect to property development, real property acquisitions, leasing as well as in respect of general corporate law and securities matters such as JVs and compliance matters. He advises foreign and Malaysian clients on their investments in Malaysia, which includes restructuring of their existing investments in Malaysia. Hsian also advises and assists clients with corporate M&A and securities transactions.
Mr. Yong assists real property owners with the acquisition, disposal and leasing of real property assets and structuring of entities for holding of real property assets. He also provides advice to property developers and asset managers on property development regulatory issues, including in particular advice on stratification as well as to owners and operators for hotel management agreements, licence agreements, technical services agreements and other related contracts in relation to hotel management. As part of the scope of work, advice is also given to clients to obtain and comply with all regulatory requirements for the operation of their real estate asset or installation.
Mr. Yong also regularly advises on joint venture and company law matters and assists clients with share purchase and joint venture transactions in respect of private and publicly listed entities.
Representative Legal Matters
Advised and assisted Mulia Property Development Sdn. Bhd., an associate of Mulia Group (Jakarta), one of the largest commercial property developers in Indonesia, on the MYR665 million purchase of land for the development of the Signature Tower within the 70-acre Tun Razak Exchange (TRX) project in Kuala Lumpur. The Signature Tower building, once constructed will be a highly visible focal point for TRX, and is targeted to be the best international business address in Kuala Lumpur.
Advised and assisted The Intermark Sdn. Bhd. with the disposal of a six storey retail commercial mall with approximately 367 car parks known as the Intermark Mall, with a total area of approximately 39,600 square metres, to a Malaysian listed REIT for the sum of MYR160 million. The scope included assisting the vendor on due diligence by the purchaser on the property as well as assisting with the drafting, negotiation and finalisation of the sale and purchase agreement and other ancillary documents.
Advised a prominent Japanese developer with its initial investment in a joint venture with a Malaysian premium property developer for the development of a high end premium residential condominium in the Kuala Lumpur City Centre area.
Assisted PPG Performance Coatings Sdn. Bhd. in advising on, drafting and negotiating a sale and purchase agreement for the sale of a manufacturing facility in Shah Alam, Selangor to a Malaysian buyer.
Acted for a Canadian pension fund in respect of its investment into a joint venture with a Malaysian property developer for the development of a multi-billion Ringgit development comprising up to 14 blocks of commercial and residential properties together with commercial retail space.
Acted for a subsidiary of a Malaysian sovereign wealth fund in respect of a joint venture entity to be jointly operated by the Company with an international design company for the development of some luxury residential homes at Langkawi Island, Kedah Darul Aman and Desaru, Johor Darul Takzim, Malaysia.
Advised a US publicly listed client with its successful take-over bid for a publicly listed Malaysian entity in the signage business with interests in Malaysia, China, Thailand, Indonesia and Philippines.
Advised a Japanese listed entity with its investment in a joint venture with a Malaysian licensed entity to provide online brokerage services.
