
Kosuke Yatabe
Biography
Kosuke Yatabe is a member of the Firm's Capital Markets group in Tokyo, and has over 10 years of legal experience in Japan. He provides advice on various finance and M&A transactional matters as well as the regulation of financial institutions under the Financial Instruments and Exchange Act. He was on secondment for two years in the international business division of Chubu Electric Power Co., Inc., where he handled independent electricity production projects, gas fuel infrastructure projects (including the Freeport project), and the business alliance with TEPCO.
Practice Focus
Kosuke has a wide range of experience in financial matters. In the area of capital markets, he has advised on and prepared documentation for cross-border securities transactions, Euro bonds, the MTN Program, Samurai bonds, IPOs, incentive plans and other corporate finance matters. In M&A, he has advised on and prepared documentation in connection with cross-border M&A, tender offer bids, schemes of arrangement, exchange offers, corporate restructuring, formation of business alliances and REIT mergers. In energy and project finance, Kosuke has handled independent electricity production and fuel infrastructure projects, acquisition of project companies and various matters related to infrastructure funds. He has also handled various structured finance matters, including the liquidation of real estate assets and receivables as counsel for both lenders and borrowers. He is experienced in LPS fund matters and Financial Instruments and Exchange Act-related matters (including financial instruments business regulations and insider trading).

- Acted for a leading electrical equipment manufacturing company in Japan in its JPY 80 billion Euro CB offering.
- Acted for a indirect materials sales company in U.S.A. in its tender offer to acquire shares in a indirect materials online sales company in Japan.
- Acted for a musical instrument manufacturing company in U.S.A. in its tender offer to acquire shares in an acoustic equipment manufacturing company in Japan.
- Acted for a musical instrument manufacturing company in U.S.A. in its capital and business alliance with an acoustic equipment manufacturing company in Japan.
- Acted for REIT merger transaction .
- Acted for Chubu Electric Power Co., Inc. in its alliance with Tokyo Electric Power Company Holdings, Inc. in their overseas business and fuel procurement business.
- Acted for Chubu Electric Power Co., Inc. and Mitsubishi UFJ Lease & Finance Company Limited in their investment in a submarine power transmission project for offshore wind power plants in Germany.
- Acted for Prospect Co., Ltd. in its all-share offer for the shares of a UK listed company. The offer was implemented by means of a scheme of arrangement.
- Acted for a leasing company in Japan in its participation in floating solar project in Taiwan.
