Biography

Faye Williams is an associate in the Banking, Finance & Major Projects Group in Toronto. She joined the Firm as a summer student in 2017. Faye graduated from the University of Toronto's combined JD/Master of Global Affairs program before returning to the Firm to complete her articles of clerkship.

Practice Focus

Faye's practice focuses on mergers and acquisitions involving renewable energy projects, as well as the development and financing of renewable energy projects and other infrastructure assets in North America and globally.

Representative Legal Matters

  • Advising an international energy company in connection with the sale of interests in a portfolio of onshore wind and utility-scale solar projects across the United States.

  • Advising a consortium of infrastructure funds in connection with the acquisition of interests in a portfolio of utility-scale solar energy projects across the United States.

  • Advising a major pharmaceutical company in connection with the procurement and negotiation of two virtual power purchase agreements in the United States.

  • Advising an investment fund in connection with a bid for minority equity interests in a clean energy investment platform and its portfolios of community carport and rooftop solar assets across the United States.

  • Advising a Spanish petrochemical company in connection with its bid for a minority interest in a renewable energy developer, and its pipeline of utility-scale renewable energy and storage projects under development across the United States.

  • Advised Naturgy Energy Group in connection with its acquisition of Hamel Renewables and its portfolio of 3.2 GW utility scale solar and 2 GW of co-located energy storage projects.

  • Advised Hannon Armstrong on the acquisition of a minority equity interest in a 1.6 GW onshore wind and utility-scale solar portfolio developed and managed by Clearway Energy Group.

  • Advised DIF Capital Partners on its acquisition of BluEarth Renewables and its portfolio of renewable energy assets across North America.

  • Advised a renewable energy investor in connection with its co-investment in a 2.3 GW portfolio of onshore wind and utility-scale solar assets developed by a leading independent power producer in the United States.

  • Advised a renewable energy company in connection with the negotiation of the project agreements for the development of a waste heat power generation facility pilot project.
