Biography

Michaël Tiralongo is a member of the Tokyo office's Finance & Projects Group. Prior to joining Baker McKenzie, he worked in the financial services regulatory department of a major French law firm and in-house in the asset management arm of a global financial institution. He is fluent in Japanese.

Practice Focus

Michaël's practice focuses on project finance, investment funds, general banking and finance transactions (e.g., export finance, real estate finance, acquisition finance and general corporate loans), renewable energy projects and financial services regulations. Michaël has also developed experience in matters related to asset management (e.g., open-ended funds, private equity funds, discretionary portfolio management services and fund distribution agreements) and sustainability-related regulations and transactions.

Representative Legal Matters

  • Assisted onshore and offshore sponsors and financial institutions in connection with the financing of PV power projects in Japan.

  • Assisted Pattern Energy in connection with the financing of a 112 MW offshore wind project located in Ishikari, Japan.

  • Assisted a major Japanese energy company with its investment as a sponsor in a Luxembourg infrastructure fund dedicated to renewable energy.

  • Assisted a foreign sponsor in connection with the acquisition of a 250 MW solar photovoltaic portfolio in Japan with an enterprise value of USD 1 billion.

  • Assisted a foreign institutional investor in connection with its acquisition of a green project bond issued by a Japanese energy company for the financing of a PV plant located in Japan.

  • Assisted export credit agencies along with other financial institutions in connection with the financing of international projects in South America, the Middle East and Asia.

  • Assisted foreign financial institutions in connection with the purchase of bonds issued by Japanese real estate TMKs.

  • Assisted limited partners in connection with their investments in offshore (e.g., Luxembourg, Cayman Islands), ESG-themed private equity funds.

  • Assisted foreign fund managers in connection with the marketing of interests in private equity funds in Japan.

Prior to joining the Firm, Michaël handled the following matters in a foreign jurisdiction:

  • Assisted several sponsors / limited partners in connection with the creation and investment in onshore and offshore private equity funds.

  • Assisted a French portfolio management company in administrative proceedings led by the French regulators.

  • Assisted the GP of an alternative fund of funds in the framework of a secondary transaction whereby the fund sold several interests in offshore-based private equity funds to a newly formed vehicle.

  • Assisted an asset management company in the negotiation of investment management agreements for portfolio management services on behalf of several Italian pension funds.
