Biography

Vadim Romanoff is a senior associate in the London tax practice. Vadim joined Baker McKenzie in 2014 from a single family office in London where he worked as a legal counsel and advised on corporate tax and private client issues.

Practice Focus

Vadim advises on a broad range of UK tax matters with a particular focus on the asset management industry. He assists private fund managers and investors in connection with all aspects of UK corporation tax, including formation of alternative investment vehicles, tax structuring, downstream investments and disposals, as well as the application of the anti-avoidance rules to carried interest and other remuneration arrangements.

Vadim also regularly advises on the taxation aspects of corporate and capital markets transactions, including mergers and acquisitions, securitisations, debt financing and returns of value to shareholders.

Representative Legal Matters

  • Advised on private equity, hedge fund, fund-of-funds and infrastructure fund structures and tax treatment of the underlying investments.

  • Advised a hedge fund manager (USD 14 billion in AUM) in connection with restructuring and incorporation of its investment management business.

  • Advised a UK asset management firm (USD 2.5 billion in AUM) on investments in offshore funds and remuneration of its advisers.

  • Advised a leading real estate investment firm in Japan in relation to an acquisition of a UK-headquartered real estate fund and investment manager.

  • Assisted an infrastructure management firm in respect of an acquisition of a UK solar panel business.

  • Advised a global technology and innovation group in relation to an auction sale of its radio equipment businesses located in over 10 jurisdictions.

  • Advised on the UK tax implications of raising capital on debt and equity markets, including MTN programmes.

  • Advised a banking group in Japan in relation to a GBP 670 million securitisation of hire purchase agreements of motor vehicles, and related UK tax issues in connection with derivatives transactions.

  • Advised one of the largest rating agencies in Canada on the UK tax aspects of a GBP 275 million mortgage backed securitisation deal.
