Biography

Punwadee joined Baker McKenzie in 2006 and became a partner in 2014. She is active in the Corporate & Commercial and Mergers and Acquisitions practices. She has extensive experience assisting multinational conglomerates with establishing business in Thailand, advising on such matters are foreign shareholding, incorporation, disposals and takeovers, corporate restructuring, corporate compliance, and commercial contracts. 

Prior to joining Baker McKenzie, Punwadee was part of the Office of Council of State's legal team, which runs under the Office of the Prime Minister of Thailand.

Practice Focus

Punwadee regularly advises on merger and acquisition transactions in Thailand, through asset and share deals, as well as leading the team in conducting legal due diligence investigations. She also advises state enterprises, local and multinational companies with respect to establishing business in Thailand, including incorporation, joint ventures, tax planning, concessions, and general commercial agreements.

Punwadee is consulted for on takeovers, corporate structures and corporate restructuring, corporate management and control, including drafting and commenting on shareholders agreements and joint venture agreements. She is experienced in drafting, commenting on and analyzing various commercial contracts. She also provides review and advice on the legal implications of business licenses, operating licenses, and concessions, pertaining to foreign shareholding restrictions and environmental compliance requirements.

Representative Legal Matters

  • Advised an American multinational food, snack, and beverage corporation on the formation of a joint venture with a food and beverage manufacturer and retailer in South East Asia.

  • Advised  property developer King Wai Group, in a cross-industry acquisition of QBE Insurance (Thailand), which runs under Australia's global insurer QBE Insurance Group. 

  • Acted as legal counsel to a South Korean steel-making company, in relation to the acquisition of all outstanding shares in a Thai cold-rolled stainless steel producer through a conditional voluntary tender offer, including assistance with its merger filing.

  • Acting for various investors, both Thai and foreigners, with respect to their merger and acquisition projects in Thailand, through both share purchase and asset acquisitions, from deal structuring until completion.
