Olga Pankova is an associate in the St. Petersburg office of Baker McKenzie. Prior to joining Baker McKenzie in 2012, Olga worked as the head of the legal department of a major St. Petersburg real estate investment company, as a legal consultant at one of the major international audit and consulting firms, as a lawyer in the legal support department for the securities market section at one of the leading investment companies in the North-West region of Russia, as a judge's assistant at the St. Petersburg Charter Court as well as a lawyer at the St. Petersburg University of Humanities and Social Sciences, all in St. Petersburg.

Representative Legal Matters

  • Assisting a Swedish video game holding company in acquisition of the Russian assets of US-based video game developer. Baker McKenzie offices in St. Petersburg and Moscow performed due diligence of video game developer -company's assets in Russia, drafted documents for their acquisition and provided legal support of the transaction and post-completion operations. International game developer is a leading game developer and publisher with more than 600 employees across six offices. Completion of the transaction took place during COVID-19 limitations in St. Petersburg, which significantly affected transactional logistics. Notwithstanding this, all planned actions have been performed successfully.

  • Legal support to Ford in the course of the significant restructuring of its Russian joint venture business with Sollers PJSC (Russian major automaker) aiming to re-focus the business on commercial vehicles production and distribution allowing for future business opportunities.

  • Advising a major oil and gas company in relation to extension of a joint venture with multinational partner aimed to develop oil fields in Western Siberia. The parties signed transaction documents for acquisition by the joint venture of 100% equity interest in a company - holder of the license for the relevant area. Completion of the transaction took place in April 2020.

  • Advised an international hotel chain operator on various issues related to the hotel management agreement.

  • Legal support to Kesko Corporation in the course of sale of 12 building and home improvement store properties in Russia to Leroy Merlin Vostok LLC, a Russian division of the French Leroy Merlin (Adeo Group). The transaction price paid for the properties in cash is approximately RUB 12 billion (some EUR 169 million). Our support included ongoing advice during the transaction, review of the draft transaction documents and negotiation support.

  • Advising Orkla ASA, a leading Norwegian supplier of branded consumer goods, on the sale of its shares in LandGrand LLC to one of Russia's leading real estate developers – Pioneer Group. The aim of the transaction was to transfer control over Orkla's real estate in the city centre of St. Petersburg – LandGrand's key and primary asset. Baker McKenzie advised Orkla on various aspects of the transaction, including drafting and negotiating the transaction documents, preparing antimonopoly filings on the seller’s behalf and organizing complex payment structures.

  • Represented SVEZA, one of the world leaders in the natural birch plywood market, in connection with the acquisition of Tyumen Plywood Plant and two of its satellite companies in Tyumen. The legal work included advising SVEZA on various aspects of structuring the transaction, assisted with obtaining the antimonopoly consent and drafting and negotiating transaction documents, as well as provided general day-to-day support to SVEZA.

  • Handled legal due diligence review of one of the major Russian manufacturers of dairy products located in the Leningrad region in connection with the proposed acquisition by a major European milk processor and dairy products company. Supporting the client in negotiations with the target on the results of the review, preparing draft transaction documents.

  • Supported Jotun in the acquisition of a 9 hectare land plot in the Leningrad oblast for construction of a paint and powder coating production facility. The support included advice on the town-planning regulations applicable to the site; negotiation of all key infrastructure supply agreements needed for successful factory commissioning.

  • Advised a multinational information technology corporation on various issues under Russian environmental law as well as advising on labelling and classification requirements for chemical products.
