Uldarico has a solid background in corporate and transactional law. His practice is focused on mergers and acquisitions (M&A) and financings, mainly in Latin America. 

Uldarico has participated in several acquisitions and sales of companies, assets and equity interests, as well as in corporate reorganizations, investment operations, takeovers and commercial transactions. 

Likewise, he has experience in financing transactions, including bilateral and syndicated loans, project finance and local and international public issuances, including under Rule 144A and Regulation S, as well as in other financing transactions. 

Representative Legal Matters

  • Advised The Nielsen Company (US), LLC, a subsidiary of Nielsen Holdings (NYSE: NLSN), on its US$16 million acquisition of CCR’s retail measurement services business line in Peru, Bolivia and Chile through its local subsidiaries (2019).

  • Advised a syndicate of banks on a US$110 million loan to Pesquera Exalmar S.A.A., a leading Peruvian fishing company (2019)

  • Advised a syndicate of banks on a US$250 million loan to an agricultural company in Peru (2018).

  • Advised  a syndicate of banks on a US$400 million senior unsecured loan to Alicorp S.A.A. to finance the acquisition of two consumer goods companies in Bolivia (2018).

  • Advised Agua y Saneamientos Argentinos S.A on its international issuance of US$500 senior notes due 2023, under Regulation S (2018).

  • Advised an asset management firm on the structuring of a multijurisdictional security package to guarantee a US$40 million loan to an Austrian pharmaceutical company.  The credit agreement is governed by New York law. (2018). 

  • Advised a major thermal power generation systems company on a loan to a Peruvian company developing a power generation project in Ica region in Peru (2017).

  • Advised Parque Arauco on the acquisition of Sercenco S.A., owner of a shopping center in the city of Lima (2016).

  • Advised Kaizen Discovery Inc. on its acquisition of 100% of Canper Exploraciones S.A.C., holder of Pinaya Copper-Gold Project in Peru’s provinces of Caylloma and Lampa in Peru (2015).

  • Advised Azteca Comunicaciones Peru S.A.C., affiliate of TV Azteca S.A.B. de C.V. and Red Dorsal (the issuer), on the US$274 million bond for the finance of its fiber optic network project in Peru (2015).
