Caryn is a local principal in the Capital Markets Practice Group.

Practice Focus

Caryn's primary areas of focus are equity capital markets and corporate finance, with a crossover interest into the private equity space. She has represented issuers, sponsors and underwriters in numerous securities listings on the Singapore Exchange Securities Trading Limited (SGX-ST).

Representative Legal Matters

International IPOs and listings on the SGX-ST

  • Acted as special US counsel to the joint global coordinators, joint bookrunners and joint underwriters (Credit Suisse (Singapore) Ltd., DBS Bank Ltd. and Morgan Stanley Asia (Singapore) Pte) of Vertex Technology Acquisition Corporation Ltd. ("VTAC"), a special purpose acquisition company ("SPAC") which listed on the main board of the SGX-ST through a SGD 200 million offering. VTAC is the country's first SPAC listing since the announcement of the new rules in September 2021.

  • Advised Siam Cement Public Company Limited in relation to the spin-off of its subsidiary, SCG Packaging Public Company Limited ("SCGP"), through an initial public offering (IPO) and listing on the Stock Exchange of Thailand of SCGP. The global offering included a retail tranche in Thailand and an international tranche pursuant to Rule 144A and Regulation S under the U.S. Securities Act 1933. The IPO also included an over-allotment option exercised by the managers, an unusual feature in Thai IPOs.

  • Acted as counsel to the Joint Global Coordinators and Joint Bookrunners as to US federal securities law and English law in respect of Mr D.I.Y. Group's IPO of up to RM 1.5 billion. This is the largest Malaysian IPO in the last three years. The institutional offering was made to institutional investors outside of the US pursuant to Regulation S and to US investors pursuant to Rule 144A. Awarded Equity Market Deal of the Year by Asian Legal Business Malaysia Law Awards 2021.

  • Advised the Joint Global Coordinators and Joint Bookrunners, Maybank Investment Bank Berhad, Credit Suisse (Singapore) Limited, Credit Suisse Securities (Malaysia) Sdn Bhd, RHB Investment Bank Berhad, AmInvestment Bank Berhad, and Hong Leong Investment Bank Berhad, in the initial public offering of Leong Hup International Berhad, on the Main Market of Bursa Malaysia Securities Berhad, amounting to RM 1.03 billion. Its listing is Malaysia's largest IPO in almost two years.

  • Advised S Hotels & Resorts on it USD 240 million IPO on the Stock Exchange of Thailand.

  • Acted as international counsel to Thailand Future Infrastructure Fund in its USD 1.4 billion IPO on the Stock Exchange of Thailand. This 2018 listing was the largest Thai listing since 2015.

Corporate and other secondary offering

  • Acted for EDP Renewables in its acquisition of a 91% stake in Sunseap Group, the largest distributed solar player and top 4 solar player in South East Asia for SGD 1.1 billion.

  • Acted for Keppel DC REIT in relation to its subscription of notes and preference shares in a joint venture with M1 Limited.

  • Represented Amcorp Group Berhad, an established Malaysia-based investment holding company, in connection with the proposed acquisition of over 51% Tee Land, a real estate in Singapore by way of a partial offer.

  • Acted as Thai and International counsel to the underwriters (Maybank and SCB) in connection with the proposed preferential offering by CPN REIT, Thailand's largest retail-focused REIT, of up to 665,618,000 units at an estimated total offering of approximately USD 656.7 million to USD 677.2 million, in connection with its acquisition of assets from the Gland Office Leasehold REIT.
