Biography

Eric Mattingly is an associate in the Corporate & Securities practice group of Baker McKenzie in Chicago.

Practice Focus

Eric advises clients on a broad range of transactional matters, including offerings of debt and equity securities, joint ventures, private equity fund formation and other strategic transactions and investments. He also advises public companies on SEC reporting obligations and corporate governance issues. Prior to joining the Firm, Eric served as a law clerk for the Honorable Gerald Bard Tjoflat on the US Court of Appeals for the Eleventh Circuit and as a senior associate in the Financial Services and Products Group of a firm in Atlanta, Georgia.

Representative Legal Matters

Prior to joining the Firm, Eric handled the following matters:

  • Represented an institutionally-sponsored real estate investment trust in its initial public offering of USD 5 billion in shares of common stock and served as ongoing counsel for SEC and corporate governance issues.

  • Represented the sponsor in its USD 400 million roll-up of merger of two subsidiaries.

  • Acted as US counsel to a private investment fund in its Canadian initial public offering and concurrent US Rule 144A private placement, along with subsequent subscription receipt and debenture offerings.

  • Represented a student housing real estate investment trust in its Tier 2 Reg A+ offering of USD 50 million of shares of common stock.

  • Represented an office building real estate investment trust in connection with both its tender offer to repurchase all outstanding shares of common stock as well as its subsequent fund liquidation.

  • Ongoing representation of NYSE and NASDAQ-listed companies in connection with SEC reporting and disclosure obligations, compliance with stock exchange rules and regulations, and general corporate governance matters.
