Doug is an associate in Baker McKenzie's London office and part of the Mergers & Acquisitions team.

Doug has a range of experience advising private and public companies, on a number of complex, high value cross-border and domestic transactions, as well as general corporate matters including multi-jurisdictional reorganisations, joint ventures, venture capital, and corporate governance issues. Doug has previously undertaken client secondments with both BP and GSK.

Representative Legal Matters

  • Advising GSK on its joint venture with Pfizer's Consumer Healthcare business to create the World's largest over the counter healthcare business.

  • Advising LVMH Moët Hennessy - Louis Vuitton SE, the French luxury products group, with respect to its USD 3.1 billion acquisition of Belmond Ltd. (NYSE: BEL), a leading luxury hotel and travel company.

  • Advising an oil supermajor on its proposed venture capital investment in an aviation services platform.

  • Advising GSK on the divestment of an antibiotics business in China.

  • Acted for a global pharmaceutical group on the divestment of its manufacturing facilities in Eastern Europe.

  • Advising a NASDAQ 100 semiconductor manufacturer on its USD 10.7 billion acquisition of a cybersecurity company.

  • Advising Medgulf on the sale of Omnilife Insurance to RGA.

  • Advising Emerson Electric on the divestment of certain manufacturing assets by its Swiss subsidiary, Von Arx AG.

  • Advising Tapestry on the post-acquisition integration of the foreign operations of Kate Spade into the Tapestry foreign group structure.

  • Advising private company clients on changes to the UK Corporate Governance laws, including the delivery of training to directors and developing group-wide corporate governance frameworks.
  • Delivering advice and training to boards of directors of private company clients on their duties, roles and responsibilities under UK law, and managing the roll out of similar training to group company boards globally.

  • Providing various corporate clients with regular ad hoc advice on corporate maintenance matters including dividend declarations, voluntary dissolutions and intra-group reorganisations.
