Stephanie has experience in advising lenders, sponsors, borrowers and export credit agencies on a wide variety of multi-jurisdictional and emerging markets finance transactions including export finance, fund finance, syndicated bank lending and structured finance across Africa, the Middle East and Asia.

Representative Legal Matters

  • Advising Standard Chartered Bank and other lenders, development finance institutions and export credit agencies on the combined USD 1.46 billion financing to the Government of the United Republic of Tanzania (acting through the Ministry of Finance and Planning) in connection with the construction of the Standard Gauge Railway (SGR) Project from Dar es Salaam to Makutupora.

  • Advising lenders in relation to syndicated subscription line/capital call, NAV and hybrid fund finance facilities in respect of private investment funds and sovereign wealth funds located in various on- and off-shore jurisdictions.

  • Advised Pacific Alliance mid-market private equity investor managed by leading global infrastructure, real estate, and investment management firm on convertible loan note programme.

  • Advised MUFG Bank Ltd in relation to the Finnvera-supported financing of Finnish Outotec's supply of goods to Indonesian PT Timah Tbk, the world's second largest tin producer, to upgrade and replace its tin smelter.

  • Advised Standard Chartered Bank on a Sinosure-covered and tied commercial financing to large Bangladeshi corporate borrowers.

  • Acted for UKEF and a global financial institution on UKEF direct lending and commercial facility financing to the Kingdom of Bahrain Ministry of Works to upgrade a waste water treatment plant using environmentally sustainable technology.

  • Advising leading German financial institution on various financings to banks located in Sri Lanka, Qatar and Oman.

  • Advising industry leading bank on a court-sanctioned banking business transfer scheme under Part VII of the Financial Services and Markets Act 2000 in response to the UK’s withdrawal from the EU using artificial intelligence due diligence accelerators.

  • Advising development finance institutions in respect of the curatorship of African Bank Limited and the corporate restructuring of such lenders' debt through a medium-term note issuance programme.

  • Advising a JSE-listed financial services group in relation to an automobile loan securitisation transaction and a mortgaged-backed home loan securitisation transaction.
