Biography

Konrad Konarski heads the Firm’s Securities Practice Group in Warsaw. He has been recognized as a leading lawyer in capital markets by the International Law Review, IFLR 1000, Legal 500, PLC Which Lawyer? and Chambers Europe. He has authored and co-authored a number of articles and publications, including A Practitioner’s Guide to Mergers & Takeovers in the EU. Mr. Konarski is also a frequent speaker in conferences organized by the Polish Institute of Directors and the Warsaw Stock Exchange, among others. He is a member of the Poznan Bar and an associate member of the American Bar Association.

Practice Focus

Mr. Konarski provides insightful advice to industry clients — including issuers, major investors, investment banks, investment funds and asset management companies — on capital markets matters, including equity and debt offerings, takeovers, as well as mergers and acquisitions. He also advises on the regulatory aspects of financial services, and often works on investment funds and structured finance.

Representative Legal Matters

  • Acted for Citigroup in the public offering of exchangeable bonds listed on the Warsaw Stock Exchange and the Luxembourg Stock Exchange - first public offering of exchangeable bonds in Poland and first passporting of a foreign prospectus into Poland.

  • Advised Astarta Holding on its initial public offering and listing on the Warsaw Stock Exchange - first listing of an Eastern European company on the Warsaw Stock Exchange and first cross-border public offering in Poland based on the EU Prospectus Directive.

  • Acted for underwriters in the Polish and US offering of Netia Holdings - first full US registered offering of a Polish company.

  • Acted as transaction counsel in the initial public offering of Telekomunikacja Polska - at that time the largest initial public offering in Poland.

  • Advised Ansell Healthcare on the null to 100% takeover of Unimil, a company listed on the Warsaw Stock Exchange.

  • Acted for IVAX on the takeover of Polfa Kutno, the first exchange offer in Poland.
