Advising one of the worldwide leaders in fast food industry on the contemplated sale of a part of its Russian business related to operating quick-service restaurants to an investor via a bidding process and the restructuring of its Russian business for the purposes of such sale.
Advising Condé Nast, one of the world’s leading publishing houses, on the restructuring of its mass media business in Russia.
Advising one of the world’s leading producers and providers of entertainment and information, an American diversified multinational mass media and entertainment conglomerate, on the restructuring of its mass media in Russia.
Advising Gazprom Neft PJSC in connection with the establishment of a joint venture with Mubadala Petroleum, The Russian Direct Investment Fund and Gazprombank JSC.
Advising RUSNANO in connection with drafting of standard documents for establishment of joint ventures with RUSNANO (shareholders agreement, participation agreement, investment agreement).
Advising Gazprom Neft PJSC in connection with drafting of standard corporate agreements (participation agreement, shareholders agreement) for establishment of joint ventures with Gazprom Neft PJSC.
Advising a major international farm corporation on the acquisition of a group of Russian companies engaged in pig breeding.
Advising Cargill (i) on the acquisition of a minority stake in a deep sea port terminal in Novorossiysk on the Black Sea in South-West Russia. Cargill purchased a 25% plus one share indirect interest from DeloPorts Limited in its subsidiary, OAO “Kombinat “Stroykomplekt”; (ii) on Cargill’s binding offer to acquire Provimi, the global animal nutrition company which has operations in 26 countries across Asia, Europe, Africa and Latin America, for an enterprise value of EUR1.5 billion from Permira Direct Investment Funds.
Advising the shareholders of Novatek JSC, Russia’s largest independent gas producer, on the sale of a 12% stake to Total SA as part of a strategic partnership. Advising OJSC NOVATEK on the acquisition of a two hectare site in Moscow for the construction of the new NOVATEK Group office building.
Advising Carlsberg on consolidating 100 percent of the shares in Baltika Breweries, the largest brewery in Russia and Eastern Europe, including a public offer to buy a 15.45 percent stake for approx. USD1.2 billion from minority shareholders and subsequent squeeze-out of the remaining shareholders.
