Sergey Kapustin's recent experience includes the following:

  • Advised a shareholder of Novaport, a Russian group of companies specializing on operation and management of airports in different regions of Russia, with respect to two transactions on acquisition of controlling stakes in an international airport "Khrabrovo" (city of Kaliningard) and international airport "Mineralnye Vody" (city of Mineralnye Vody), including due diligence of the targets, advising on the transaction structure, drafting of key transaction documents and advising on setting up a joint venture arrangements with minority shareholders of the airports.

  • Advised a member of UK-based production company of scripted and non-scripted television with respect to re-negotiation of the terms of its Russian JV with its Russian partner, including re-signing of the JV on new terms and introduction of a new partner into the JV. The JV is operating in the area of development and production of scripted and non-scripted TV programming and digital content.

  • Advised Severgroup in connection with the acquisition of approx. 40% of shares in the Netologia Group – a Russian IT company specializing on online and offline educational courses and relevant services - and establishment a joint venture with the Netologia Group initial founders. Our services included advice on the transaction structure, negotiations on transaction structure and shareholders agreement with the initial founders of the “Netologia Group” as well as negotiating of the share purchase agreement with two venture funds exiting from shareholding in “Netologia Group” as a part of this transaction. This transaction included a complex advice on Russian and English law matters, including the regulatory framework applicable to “Netologia Group” as an IT educational company being resident of the Russian innovation center Skolkovo.

  • Advised Severgroup in connection with the acquisition of 100% of shares in a Russian company being the owner of the land plot in the Moscow region. This M&A transaction had a strong element of the real estate related regulatory issues. Our services included advice on the transaction structuring issues, drafting and negotiating the share purchase agreement, assistance at closing of the transaction.

  • Advised shareholders of a leading Russian manufacturer of kitchen hoods in connection with the sale of the majority stake to the world leading provider of products and solutions for residential kitchens and bathrooms.

  • Advised a US-based manufacturer of heat transfer equipment for the aviation industry on establishment of the joint venture with a Russian aviation maintenance services company aimed to organize a facility for the maintenance, repair and overhaul of heat exchangers and other heat transfer equipment for the aviation industry, as well as provision of other services to organizations of civil aviation.

  • Represented CJSC “TransTeleCom”, a major Russian telecommunications company, in connection with the acquisition of a telecommunications services provider operating in the Chelyabinsk region of Russia. The project marks a significant expansion of the client’s business in the area of internet and IP TV services in the South Ural region of Russia.

  • Advised PPF Group and Eldorado LLC with respect to the acquisition of the retail chain of electronic stores Beringov Proliv.

  • Advised the shareholders of OOO Opitny Stekolny Zavod, one of Russia's largest producers and distributors of glassware, on the sale of a 75% stake to Arc International SA, the leading French manufacturer and distributor of tableware.

  • Advised AgustaWestland S.p.A., an Italian helicopters’ producer, with respect to its joint venture with the Russian state-owned company “Russian Helicopters” aimed to organize a joint production of AW139 helicopters in Russia.
