Biography

Noah Hampson is an associate in the Transactional Practice Group of Baker McKenzie in Washington, D.C. Before joining the Firm, Noah served as the law clerk for Chief Judge Catherine J. Furay of the US Bankruptcy Court for the Western District of Wisconsin. In law school, he was the editor-in-chief of the Boston College International & Comparative Law Review.

Practice Focus

Noah focuses on investment funds and related matters. He regularly advises sponsors and investors on all aspects of the structuring, formation, and operation of domestic and offshore private equity funds, real estate funds, and fund-of-funds, and has significant experience leading negotiations and due diligence efforts related to investments in funds and other private placements. Noah also regularly advises sponsors and investors with respect to secondary transactions, co-investments, joint ventures, and special situations vehicles.

Noah's experience includes:

  • Represented a US private equity sponsor in connection with the structuring and formation of, and investor on-boarding and regulatory compliance for, its fourth generation closed-end US value-add real estate fund, aggregating to more than USD 600 million in committed capital.

  • Represented a US private equity sponsor in connection with the structuring and formation of, and investor on-boarding and regulatory compliance for, its second generation closed-end US multifamily real estate fund, aggregating to more than USD 550 million in committed capital.

  • Represented a US private equity sponsor in connection with investor on-boarding and ongoing corporate governance and regulatory compliance for its open-ended US core real estate fund, aggregating to more than USD 2 billion in committed capital.

  • Represented a US private equity sponsor in connection with the structuring and formation of numerous Delaware Statutory Trust offerings, aggregating to nearly USD 1 billion in committed capital.

  • Represented a prominent US registered investment adviser in a variety of fund formation, secondary transaction, joint venture, and co-investment contexts, aggregating to more than USD 1 billion in deployed capital.

  • Represented the investment office of a US university in connection with a bundled secondary sale of 32 private equity fund interests from 14 different fund sponsors, aggregating to more than USD 300 million in transferred value.

  • Represented a US family office in a variety of private equity and joint venture contexts, including the negotiation and consummation of private equity fund investments, aggregating to more than USD 120 million in committed capital, and the structuring, formation, and management of an industrial equipment storage company.
