Biography

Natalia Gutierrez de Larrauri is a corporate lawyer with more than eight (8) years of experience working in local and foreign law firms. She is a senior associate in the M&A practice group focusing on advising local and foreign clients and private equity funds on the structuring and negotiation for the acquisitions of shares and assets in Colombia, including related commercial and civil law matters, as well as coordination of due diligence for national and cross border transactions. As part of the M&A Colombian team, Natalia  is usually involved in the structuring and coordination of the entire acquisition process as well as in advising and supporting the drafting of the transaction documents, for both, purchasers and sellers. She has been involved in transactions of the financial, oil & gas, and health industry. She also worked for a New-York office for a year, where she focused on advising Latin American companies on equity and debt offerings under Regulation 144A/Regulation S, structuring and implementation of financing operations through the capital market and the banking system and the drafting and negotiation of loans and facility agreements across various sectors.

Representative Legal Matters

  • Advised US healthcare provider UnitedHealth Group enter into the Peruvian, Chilean and Colombian health market, through its USD 2.7 billion acquisition of private health insurer Banmédica. The acquisition was awarded Latin Lawyer’s M&A Deal of the Year Award (2018).

  • Advised Citibank in its divestiture of its retail operations (consumer banking and small and medium enterprise operations) in Colombia, as acquired by Scotiabank’s Colombian subsidiary. 

  • Participated in the transaction by means of which Goldman Sachs-controlled fund  acquired from Grupo Argos S.A., a 50% stake in Colombian port operator Compas S.A., in a COP 407 billion (USD 138 million) deal.

  • Advised Frontera Energy Corporation (Canadian public company and leading explorer and producer of crude oil and natural gas, with operations focused in Latam) in the sale of  Petroelectrica de los Llanos to an affiliate of Eléctricas de Medellín - Ingeniería y S.A.S (EDEMSA). 

  • Advised Amcor Holdings (Australia) PTY Limited in the acquisition of 100% of the shares of Plásticos Team S.A.S., owned by Team Foods Colombia S.A., a company whose purpose is to manufacture, purchase, sale, import, export and distribute all kinds of national and foreign food products, including edible oils and their by-products.
