Representative Legal Matters

  • Legal support to Ford in the course of the significant restructuring of its Russian joint venture business with Sollers PJSC (Russian major automaker) aiming to re-focus the business on commercial vehicles production and distribution allowing for future business opportunities. As part of the restructuring Ford ceased the production of the passenger vehicles and closed two Russian vehicle production plants and one engine plant. At different stages of the deal, engagement in assisting with transaction planning from legal standpoint, drafting and negotiating the memorandum of understanding, shareholders’ agreement, as well as assisting with legal aspects of the financial restructuring.   

  • Assisting a Swedish video game holding company in acquisition of the Russian assets of US-based video game developer including due diligence of video game developer-company's assets in Russia, drafting documents for their acquisition and legal support of the transaction and post-completion operations.   

  • Advised a major global automotive manufacturer on various customs, trade restrictions and other matters under the Russian and Ukrainian law in connection to semi-knock down components export-import operations.   

  • Advised an international manufacturer of industrial equipment on establishment of a new legal entity in Russia, including registration, corporate structure, as well as legal and tax issues related to the company's day-to-day business activities (commercial contracts, intra-group financing and intercompany services, transfer pricing issues, conducting corporate procedures, tax implications related to employees' allowances, etc.).   

  • Consulted a major international industrial manufacturer of wood-based materials on options for net assets increase from tax and corporate perspective; on tax and currency control issues related to cash pooling program; on implementation of the company's suppliers check internal policy in order to mitigate tax risks; on Russian legal and tax implications relating to loan and services agreements and drafting commercial agreements; advised the same client on perspectives of existing tax litigation case.   

  • Advised a major automotive company on Russian corporate and tax matters related to cross-border intragroup reorganization and transfer of the shares in the Russian subsidiary.   

  • Advised a client on potential sale of a stake in the Russian satellite TV operator to the Russian major investor, including drafting the transaction documents.   

  • Advised a major automotive company on matters related to utilization fee application in connection with special vehicles manufacturing.   

  • Advised a detection and security screening technology producer on manufacturing localization in Russia and its impact to access to the state procurement.   

  • Represented KIT Finance Holding Company (LLC) as seller in connection with the sale of KIT Finance Insurance Company to Liberty Mutual, a major international insurance company.
