Biography

Melissa Forbes-Miranda is a counsel in the firm’s UAE Corporate practice. Based in Dubai since 2008, Melissa has significant experience in advising on a broad range of cross-border and domestic corporate transactions.

Practice Focus

Melissa’s practice focuses primarily on mergers and acquisitions, joint ventures, corporate reorganisations and shareholder disputes. However, Melissa also regularly advises clients on various other types of corporate and commercial issues.

Mergers & Acquisitions

  • Advised Marka PJSC on its USD 85.7 million acquisition of the award-winning Middle Eastern restaurant chain Reem Al Bawadi.

  • Advised Frigoglass SAIC on the disposal of its UAE glass bottle manufacturing business.

  • Advised a European chemical distribution company in relation to the purchase of a controlling stake of a Middle Eastern chemical distribution company for an undisclosed amount.

  • Advised a global provider of healthcare information, services and technology provider on the acquisition of a Middle Eastern healthcare informatics solutions provide.

  • Advised a regional investment entity on the purchase of a company that owns various hotels in Dubai.

  • Advised a global real estate services firm on the proposed acquisition of a UAE interior design and fit-out company.

  • Advised a real estate investment firm on a proposed joint venture for the establishment and operation of a restaurant, lounge and nightclub in Palm Jumeirah, Dubai.

  • Advised a sovereign-owned real estate investment company on a proposed joint venture with a Dubai free zone authority for the development of office units and retail stores on a plot in extension of the free zone.

  • Advised an American food products exporter on a proposed joint venture with a local UAE distributor for the distribution of various food products in the UAE.

  • Advised the owner of a hotel on a hotel management agreement for the management of the hotel by an international hotel operator.
