Biography

Mariam has experience in advising strategic and financial investors in M&A and capital markets transactions. She has assisted a large number of local and international clients in due diligence exercises, drafting transaction documents, and dealing with regulatory bodies in the context of M&A and capital markets transactions. She also has experience in preparing commercial and legal advisory for the healthcare and education sectors. Additionally, she has experience in effecting restructurings and incorporating offshore entities.

Representative Legal Matters

Prior to joining Baker McKenzie, Mariam worked on the following transactions:

  • Acting as the local counsel of Cairo for Investment and Real Estate Development (CIRA) and its major shareholder Social Impact Limited (SIC) in relation to the initial public offering (IPO) and listing of CIRA’s shares on EGX.

  • Acting as the local counsel of HSBC Bank plc, Investec Bank plc, and CI Capital Investment Banking S.A.E., the underwriters, in relation to the initial public offering (IPO) and listing of the shares of Tenth of Ramadan for Pharmaceutical Industries and Diagnostic Reagents (Rameda) S.A.E. on EGX.

  • Advising EFG Finance Holding & GB Capital in relation to the acquisition of 75% of the share capital of Tokio Marine Egypt Family Takaful (life insurance company), from Tokio Marine Group.

  • Advising EFG Finance Holding & GB Capital in relation to the joint venture entered into with Talaat Mustafa Group (TMG), in the mortgage finance sector.

  • Advising Telecom Egypt in relation to the acquisition (via a subsidiary) of 100% of the share capital of Middle East & North Africa Submarine Cable Systems (MENA Cables) (a subsidiary of Orascom Telecommunications Media and Technology).

  • Advising the Egyptian American Enterprise Fund in relation to the acquisition of a minority stake in Advanced Education Company (the management company of Nermine Ismail Schools).

  • Advising Family Corporation S.A.E. in relation to the minority stake acquisition by Ezdehar Egypt Mid-Cap Fund Coöperatief U.A.

  • Advising British Colombia Canadian International School S.A.E. (the management company of BCCIS) in relation to the majority stake acquisition by Cairo Investment and Real Estate Development (CIRA).

  • Advising Uria Menendez Abogados, S.L.P.-C in relation to the acquisition of 100% of the share capital of the Egyptian subsidiaries of Ferro Group.

  • Advising Al Tayseer International Hospital S.A.E. in relation to the minority stake acquisition by Ezdehar Mid-Cap Fund Cooperatief U.A.

  • Advising Al Tayseer International Hospital S.A.E. in relation to the acquisition of a majority stake in the share capital of Hassab Laboratories for Medical Diagnostics S.A.E., from Hassab Laboratories (an SPV owned by SAHAM Group).

  • Advising an Egyptian listed company in relation to the restructuring of the same and in relation to a mandatory tender offer (MTO).

  • Advising Dawi Holdings in relation to the minority stake acquisition by Egyptian American Enterprise Fund.
