Biography

Ying Deng is an associate in the Corporate and Securities Practice Group in Chicago. Before joining Baker McKenzie, she worked in the Antimonopoly Office of the Ministry of Commerce of the PRC, focusing on merger review. Ms. Deng also acted as a senior in-house counsel for a US subsidiary of a Chinese renewable energy company related to its business in the US and Latin American countries.

Practice Focus

Ms. Deng primarily focuses her practice on representing clients in their cross-border commercial activities, particularly concerning merger and acquisitions, joint ventures, and pre- and post-transaction corporate reorganizations. She also advises on US regulatory compliance, internal corporate governance and other business law issues.

Representative Legal Matters

  • Advised a major Chinese conglomerate on the acquisition and development of a multi-billion dollar resort project in the United States.
  • Represented an American multinational pharmaceutical corporation as international counsel on its global asset sales in a 30-plus jurisdiction transaction valued at approximately USD14 billion.
  • Represented an American multinational financial services corporation as international counsel on its global asset acquisition from a multinational media service corporation, in a 30-jurisdiction transaction valued at approximately USD390 million.
  • Represented an American Fortune 200 company in its global spin-off of a key business line valued at approximately USD3.6 billion.
  • Represented a Swiss company in the sales of one of its key business line valued at approximately USD200 million.
  • Advised an American high-tech company on its post-merger cross-border indemnity dispute involving US litigation and arbitration, and Chinese court litigation.
  • Defended high-tech Chinese chip makers against US monopolization claims regarding the Chinese, US, and global markets for cell phone chips in the US federal court.
