Biography

Melissa is a Special Counsel in the Capital Markets team in Baker McKenzie's Sydney office. She has extensive experience working in both private practice and in-house in London, Dubai and Sydney. She has worked predominantly in the financial services space, specialising in equity capital markets and M&A at a number of well known and respected financial institutions in London, where her most recent role was as Director and Assistant General Counsel in the ECM Legal team at Bank of America Merrill Lynch. She has also spent time working as Senior Legal Counsel at a large corporate in Dubai, where her practice was much broader which allowed her to diversify her skill set and demonstrate her versatility. Following her arrival in Australia in 2016, Melissa worked at Westpac Institutional Bank advising on derivative regulation with particular focus on variation margin and risk mitigation.

Practice Focus

Melissa's corporate finance practice is particularly strong on equity capital markets and equity-linked transactions, having worked in-house at Bank of America Merrill Lynch and Dresdner Kleinwort. She has extensive experience advising in relation to capital markets transactions throughout Europe, the Middle East and Africa, as well as general corporate/commercial experience. She also has broad experience on financial services regulatory matters affecting investment banks and other financial institutions. She has recently advised in relation to the implementation of various global derivative regulation initiatives, with particular focus on APRA risk mitigation.

Representative Legal Matters

Since joining Baker McKenzie in September 2018, Melissa has worked on a variety of matters including:

  • Advising Mitsubishi UFJ Trust and Banking Corporation on its USD 4.13 billion purchase from Commonwealth Bank of Australia of Colonial First State Global Asset Management.

  • Advising UBS AG, Australia Branch and Moelis Australia on the AU$51 million accelerated non-renounceable entitlement offer by Centuria Property Funds No. 2 Limited as Responsible Entity of Centuria Industrial REIT.

  • Advising an Australian investment bank in relation to amendments to their code of conduct, in particular relating to information barriers and wall crossing procedures.

Prior to joining Baker McKenzie, Melissa worked on a variety of matters, including some of the largest equity capital markets transactions in EMEA:

  • Acted for Bank of America Merrill Lynch as underwriter for the US$1.7 billion IPO of Cembra Money Bank on the Zurich stock exchange.

  • Acted for Bank of America Merrill Lynch as underwriter for the £5.8 billion rights issue by Barclays.

  • Acted for Bank of America Merrill Lynch as underwriter for the US$1.7 billion IPO of Bank Zachodni WBK on the Warsaw stock exchange.

  • Acted for Bank of America Merrill Lynch as underwriter for the €530 million IPO of Tarkett on Euronext.

  • Acted for Bank of America Merrill Lynch as underwriter for the £615 million rights issue by FirstGroup.

  • Acted for Bank of America Merrill Lynch as underwriter for the €3 billion rights issue by Dutch telecom company KPN.

  • Acted for Bank of America Merrill Lynch as underwriter for the €6.9 billion repurchase offering by Piraeus Bank.

  • Acted for Bank of America Merrill Lynch as underwriter of the €250 million convertible bond offering by Melia Hotels International.
