HHP Law Firm ("HHP") acted as Indonesia counsel to CK Hutchison Holdings Limited ("CKHH Group") and PT Hutchison 3 Indonesia ("H3I") in their landmark USD6 billion (est.) merger with PT Indosat Tbk, the Indonesia telecom business of Ooredoo Q.P.S.C. The deal was completed on 4 January 2022, having received all required shareholder and regulatory approvals.
HHP senior partners Daniel Pardede and Mita Guritno co-led this transaction with a cross-border team of over 20 team members (with lead associates Royhan Akbar, Bimo Harimahesa, Muhammad Ibnu Sofyan), and also involving support from Baker McKenzie Wong and Leow in Singapore and Baker McKenzie Hong Kong. The other senior partners who led their respective teams on this deal include Iqbal Darmawan (capital markets), Andi Kadir (dispute resolution), Ponti Partogi (tax), Daru Lukiantono (intellectual property), and associate partners Alvira Wahjosoedibjo (employment) and Wiku Anindito (intellectual property). Our Associate Partner, Mochamad Fachri also provided support for the merger control filing with the Indonesian Competition Commission (KPPU).
Commenting on the transaction, senior partner Daniel Pardede said: "We are very honoured to have acted as Indonesia counsel to CKHH on the most significant telecom merger of the year in Indonesia, and the newly merged entity is the second largest mobile telecoms company in the country with the enhanced capabilities, scale and financial might to contribute towards Indonesia's aspirations to become a more digital society, including the rollout of 5G in Indonesia."
The newly merged entity, which will be known as Indosat Ooredoo Hutchison, will have increased annual revenues and is expected to realise significant operational synergies that will deliver cost efficiencies and facilitate deeper innovation and network enhancements.
