Baker McKenzie advised METRO AG on the implementation of a multi-year digital and IT strategic partnership with Wipro Limited. Wipro Limited is a leading global information technology, consulting and business process services company. Parts of the current internal IT unit METRO-NOM including more than 1,300 employees will be transferred to Wipro; the remaining units with around 1,000 employees will develop IT solutions for METRO AG's operational business under the new brand METRO Digital.
The closing of the transaction is planned for the first half of 2021. The parties have agreed not to disclose the transaction volume.
Baker McKenzie advised METRO AG on all legal aspects of the complex transaction. This included the restructuring of IT services at METRO and the carve-out of METRO Digital, the transfer of METRO-NOM including its Romanian subsidiary as well as the agreement of the contractual framework for the IT services to be provided by Wipro in the future.
