Baker McKenzie assists in the acquisition by the Swedish group
Amplifier Game Invest acquired the newly formed games developer Rare Earth Games together with its renowned team. The international law firm Baker McKenzie assisted Amplifier in this transaction.
Just like the worldwide well-known games providers THQ Nordic, Koch Media and Deep Silver, Amplifier Game Invest AG is also a member company of the Swedish Embracer group. The Vienna-based development studio Rare Earth Games GmbH will develop multi-player adventure games for PCs, consoles and Cloud services.
The transaction was signed and closed in mid August. The purchase price amounts to EUR 300,000, which will, however, rise to up to two million euros, depending on whether agreed sales targets will be reached, which will be paid out in the form of shares.
The Baker McKenzie team was led by the Vienna Corporate group partner Eva-Maria Ségur-Cabanac. In addition to the M&A team (Armin Assadi and Teresa Stüttler) the IP, Employment and Banking & Finance practice groups were also involved. Says Ségur-Cabanac: “The special challenge to be mastered was to implement the earn-out mechanism agreed and to synchronize the relevant Swedish and Austrian legal requirements for this purpose.”
Baker McKenzie had already advised the group in the acquisition of the Koch Media group in 2018.
