Baker McKenzie advised the Swiss packaging group benpac holding ag on the acquisition of the Gallus Group from Heidelberger Druckmaschinen AG (Heidelberg). The takeover, which is still subject to the ap-proval of the Supervisory Board and other conditions precedent, is expected to become effective in calendar year 2020.
The Gallus Group is a subsidiary of Heidelberger Druckmaschinen AG and develops, produces and sells conventional and digital narrow-web, reel-fed presses designed for the label and packaging business. The transaction will see benpac assume ownership of Gallus Holding AG, St Gallen, Gallus Ferd. Rüesch AG, St. Gallen, Gallus Druckmaschinen GmbH, Langgöns, Heidelberg Web Carton Converting GmbH (WCC), Wei-den i.d. Oberpfalz and Menschick Trockensysteme GmbH, Renningen, with a total of five sites in Germany and Switzerland and around 430 employees.
