A cross border team of lawyers from leading global law firm Baker McKenzie has advised high performance advanced materials producer Materion Corporation as it entered into a definitive agreement to acquire film optical coatings company Optics Balzers AG, a deal valued at approximately USD 160 million. 

US-headquartered Materion, whose products include precious and non-precious specialty metals, inorganic chemicals and powders, specialty coatings, specialty engineered beryllium alloys, beryllium and beryllium composites, and engineered clad and plated metal systems, will fund the all-cash transaction with a combination of cash on hand and borrowings under its revolving credit facility. The deal is expected to close in the third quarter of 2020.

Optics Balzers, based in Liechtenstein, recently launched a state-of-the-art manufacturing facility in Malaysia. Optics’ significant presence in Europe and Asia will help Materion expand its geographic footprint well beyond North America, enabling it to become a key player in the global market. 

Optics’ entire management team, workforce and facilities will be merged with Materion’s Precision Coatings business segment. The companies’ complementary technologies across the electromagnetic spectrum will boost the capabilities of the combined thin film optical coatings portfolio and position Materion to capitalize on key megatrends in the areas of life science, consumer, and industrial.
