Baker McKenzie is representing a leading Brazilian education business YDUQS (formerly known as Estácio Participações S.A.) on its acquisition of Adtalem Educacional do Brasil, the Brazilian education business of Adtalem Global Education, a US public company. The Adtalem business in Brazil is the country's tenth largest private-sector higher education company, with over 100,000 enrolled students. The transaction is valued at USD 465 million and is expected to be completed in the first half of fiscal 2021.
According to the company, the acquisition is transformational for YDUQS, as it enables a significant expansion of the company's operational horizons, with the combined companies' scale, investment capacity, and technology.
The Baker McKenzie team is led by New York-based M&A partner and Chair of the Corporate & Securities practice group, Alan Zoccolillo and includes Jieun Tak, Michelle Heisner, Laura Estrada-Vasquez and Ava Haghighi along with tax partners Kai Kramer and Matthew Hayes.
This transaction is the latest example of Baker McKenzie's experience working closely with clients across Latin America to execute significant transactions for over 60 years. Other recent successes associated with this initiative include Baker McKenzie's work to advise China Yangtze Power Company (CYPC) on its $3.59 billion purchase of Sempra Energy's Peruvian businesses. In terms of contract value, this deal is the largest overseas M&A transaction by a Chinese company in 2019, to date.
