Baker McKenzie and its member firm have won three awards at the International Financial Law Review (IFLR) Asia Awards held in Hong Kong on 7 March. The Firm was awarded "Most Innovative National Firm of the Year" for Thailand, while its Indonesian member firm, Hadiputranto, Hadinoto & Partners (HHP Law Firm), received the same accolade for Indonesia. Elvino Martinus, a senior associate at HHP Law Firm, was named "Rising Stars of the Year."


The IFLR Asia Awards recognizes the region's most innovative and complex deals, and the firms that worked on them. The Most Innovative National Firm of the Year award, meanwhile, recognizes in particular the firms with the best track record in 2018 in giving local law advice on the most innovative international corporate finance transactions in respective jurisdictions. Some of the landmark deals which Baker McKenzie Thailand and HHP Law Firm have worked on include:


  • Advised PT Perusahaan Listrik Negara (Persero) on a revolving credit facility and a term loan facility with a total value of USD 1.5 billion, with a greenshoe option of up to USD 500 million. This deal is the first large-scale syndicated offshore financing for the Indonesian state-owned power company.


  • Advised Mitsubishi UFJ Financial Group, Inc (MUFG), on a strategic investment into PT Bank Danamon Indonesia Tbk. The transaction is expected to strengthen MUFG’s growth in Asia and Oceania and also contribute to the development of the banking sector in Indonesia.


  • Advised Thai Oil Public Company Limited (TOP) and Thaioil Treasury Center Company Limited (TTCC) on their complex liability management exercise. The transaction involved a cash tender offer of the existing notes of TOP and an issuance of like-kind notes by TTCC that replicated the features of the notes repurchased by TOP.  All notes issued by TTCC are guaranteed by TOP.


  • Assisted PTT Global Chemical Public Company Limited (PTTGC) on their first ever liability management exercise. The transaction involved a cash tender offer of the existing notes of PTTGC and an issuance of like-kind notes by GC Treasury Center Company Limited. The new notes, with a total value of USD 495,894,000, are also guaranteed by PTTGC. 


Elvino Martinus is a senior associate in the Capital Markets Group of HHP Law Firm. He has represented HHP's major clients in various high-profile capital market transactions consisting of initial public offerings (IPOs) of equity and debt securities (covering local and international offerings under Rule 144A/Reg S of the US Securities Act of 1933), rights offerings, mergers & acquisitions of public and private corporations, tender offers, and other capital market transactions. Recent key deals which Elvino was involved include Siam Cement Group's acquisition of a 29% interest in PT Catur Sentosa Adiprana Tbk and PT Barito Pacific Tbk's rights issue. Elvino is well versed in pre-IPO, corporate, and debt restructuring. His work encompasses various sectors, including IT, telecommunication, plantations, healthcare, mining and transportation.
