Baker McKenzie advised THQ Nordic, a major Swedish gaming company, on its acquisition of Prague based Warhorse Studios, a leading independent game developer. THQ Nordic acquired 100 percent of the shares in Warhorse through its indirectly wholly owned subsidiary Koch Media GmbH.
The acquisition included the development studio and all intellectual property rights to the successful award-winning title Kingdom Come: Deliverance. The purchase price amounts to EUR 42.8 million, corresponding to EUR 33.2 million on a cash and debt free basis.
The Baker McKenzie Prague team advising THQ Nordic on the transaction was led by partner Tomáš Skoumal, who was primarily assisted by associate Dušan Hlavatý.
THQ Nordic acquires, develops and publishes PC and console games for the global games market. The company has a global presence, with its group head office located in Karlstad, Sweden, and with three divisions: Deep Silver/Koch Media; THQ Nordic; and Coffee Stain. The group has fifteen internal game development studios based in Germany, Finland, UK, USA, and Sweden and engages about 2,000 people.
