Baker McKenzie successfully acted for PINCHme.com on a pre-IPO capital raising, IPO and ASX listing with a market capitalisation (on listing) of A$58.6 million.

A New York based, Delaware incorporated company, PINCHme.com operates a leading product sampling and digital promotions platform and is backed by numerous high profile investors.

Baker McKenzie lead partner, Lauren Magraith stated: "We are delighted to assist our client, PINCHme.com, as a Delaware corporation, in accessing funding in Australian capital markets to drive membership growth and pursue further monetisation opportunities for its expanding business. The Baker McKenzie team on this transaction included lawyers from our Sydney, Chicago and San Francisco offices, as well as our US securities lawyers who are based in Sydney. Our global footprint allowed us to provide seamless Australian and US advice to PINCHme on what is a transformative step for the company."

The transaction follows Baker McKenzie's work last year advising Pyrolyx AG on its IPO and ASX listing. Pyrolyx AG was the first-ever German company to list on ASX and further demonstrates Baker McKenzie's capabilities in assisting foreign issuers seeking opportunities in the Australian market.

Lauren was assisted by a Baker McKenzie team comprising: Antony Rumboll, Andrew Reilly, Matthew De Cataldo, Ivo Basoski, Caroline Tait, Paul Anderson, Alberto Pacchioni and Francisco Widjojo.

Baker McKenzie's Corporate Markets team has recently acted on a number of successful capital markets and M&A transactions, including advising Centuria Funds on their capital raisings to fund the $645 million acquisition of 4 properties from the Hines office portfolio, Macquarie Capital (Australia) Limited as underwriter of RCR Tomlinson's $100 million capital raising, Afterpay Touch Group Limited on its $117 million institutional placement and acquisition of UK business ClearPay Finance Limited, Barminco Holdings Pty Limited on the sale of all of its equity and equity-like instruments to Ausdrill Limited in a transaction worth $271.5 million, and advising HT&E limited on the sale of its outdoor advertising business, Adshel, to oOh! Media Ltd for $570 million. We also advised Taylor Collison, Morgans Financial, National Australia Bank and Ord Minnett in their roles as joint lead managers for the flotation of the WAM Global listed investment company on the ASX, which successfully raised A$466 million.
