Baker McKenzie advised Sulzer AG on the acquisition of Transcodent Group based in Kiel.
With Transcodent, Sulzer acquires a leading provider of application systems for the dental market and is further expanding its presence in the healthcare and cosmetics market. Transcodent maintains sites in Germany and the USA.
Baker McKenzie comprehensively advised Sulzer on all aspects of the transaction. A particular challenge was handling a demanding corporate structure on the seller-side.
"With this important acquisition our client further strengthens the Applicator Systems division of its dental segment, where Sulzer already is a global market leader. We were once again able to provide targeted legal support in the success of the transaction," commented Corporate/M&A Partner Dr. Florian Kästle.
Transcodent, headquartered in Kiel, Germany, is expected to achieve revenues of EUR 17 million in 2017. The company generates the majority of its revenues in Europe and the Americas, and manufactures in Kiel.
The corporate/M&A team of Baker McKenzie regularly advises on cross-border transactions and restructuring. Baker McKenzie recently advised Sulzer on acquiring the GEKA Group from private equity investor 3i and selling the Metco Division to OC Oerlikon and the acquisition of EIPS in Morocco and the Saudi Pumps Factory in Saudi Arabia.
